THE ROLE
Peloton is seeking a commercially-minded and self-driven attorney with 15+ years of experience in corporate securities, governance, capital markets, and M&A. This role offers a unique opportunity to collaborate with the Chief Legal Officer & Corporate Secretary on high-impact initiatives within a dynamic Legal team.
KEY RESPONSIBILITIES
- Advise on securities laws, public disclosures, and SEC/Nasdaq reporting requirements.
- Provide strategic counsel to the Board and its committees.
- Lead or support capital markets transactions, strategic partnerships, and M&A activities, including due diligence and integration.
- Manage external counsel for specialized support as needed.
- Draft, review, and negotiate transaction-related documents while ensuring legal and regulatory compliance.
- Oversee SEC filings (Forms 10-K, 10-Q, 8-K, proxy statements, Section 16, etc.) and assist with public and investor communications.
- Partner with cross-functional teams to administer insider trading policies, equity plans, and corporate governance matters, and support credit facilities and other financing arrangements.
- Oversee entity management and corporate filings (local, state, national, and international).
- Stay current on governance trends and evolving regulatory landscapes, implementing best practices and compliance initiatives.
- Lead and mentor a small team of legal professionals, fostering collaboration and growth.

YOU BRING TO PELOTON
- 15+ years of experience in corporate governance, securities law, and compliance, gained at a law firm or in-house.
- In-depth knowledge of SEC/Nasdaq rules and regulations.
- Exceptional skills in writing, analysis, negotiation, and communication.
- Strong business acumen and a solutions-oriented mindset.
- A team-first attitude, willing to take on responsibilities of any size to support shared goals.
- Unwavering attention to detail, a commitment to excellence, and the highest standards of integrity.
- Leadership experience with a collaborative approach and the ability to navigate a fast-paced environment.
- Active membership in good standing with the NY State Bar (or equivalent).
