About the role
Appfire is looking for a business-focused Corporate Counsel with 3-5 years of legal experience to support our commercial legal operations. This role will primarily focus on negotiating and structuring commercial transactions, including customer agreements, SaaS contracts, vendor agreements, and strategic partnerships.
The Corporate Counsel will report to the Deputy General Counsel and work closely with business teams across the company, including Sales, Customer Success, Channel. Finance, Product, and Procurement. While the primary focus will be commercial transactions, this role may also contribute to other legal areas, such as privacy compliance and intellectual property, as needed.
This is an excellent opportunity for a motivated, detail-oriented attorney looking to gain hands-on experience in a fast-paced, high-growth technology environment.
This role requires you to work remotely from East Coast (U.S.) time zone to align with global team time zones.
Your everyday tasks will include:
- Review, draft and negotiate a wide range of customer, partnership, vendor, supplier, consultant, and technology agreements, including SaaS, software licensing, and professional services agreements, Vendor, supplier, and procurement contracts, reseller, partnership, and technology agreements
- Support Sales and Procurement teams by providing legal guidance on contract terms, risk assessment, and risk mitigation strategies balancing business priorities and legal considerations.
- Ensure compliance with privacy and data protection laws (e.g., GDPR, CCPA) in commercial contracts.
- Assist with contract lifecycle management, including developing playbooks and templates to streamline processes.
- Collaborate with internal teams to resolve contract-related issues and support deal execution.
- Handle pre-litigation resolution of disputes involving customers, vendors, and suppliers.
- Support special projects and initiatives, such as M&A due diligence, post-acquisition legal integration, and new product development.
Skills and experience you'll need to succeed:
- JD from an ABA-accredited school and bar membership in good standing in at least one U.S jurisdiction
- 3+ years of relevant experience in the technology space, ideally having worked both for a top-tier law firm and in-house
- Significant experience reviewing, drafting, and negotiating complex commercial contracts and software licensing agreements, including Software as a Service (SaaS) agreements, Data Processing Agreements, Professional Services Agreements, and similar.
- A successful track record of closing challenging deals. Experience with negotiating with major technology players such as Atlassian, Salesforce, Microsoft, Oracle, Google, Apple, ServiceNow is a plus.
- Experience with RFP review and responses with enterprise customers
- General knowledge of licensing, anti-competition, marketing, privacy, and data protection laws
