We are looking for an exceptional attorney to join our Corporate Legal team. You will work closely with business executives and operations teams, with your primary responsibilities including mergers & acquisitions, Coinbase Ventures investments and projects, and corporate governance matters.
What you’ll be doing (ie. job duties):
- Lead on behalf of the legal function for corporate development activities at all stages of an M&A deal, from transaction structuring and term sheet negotiation to due diligence, definitive agreement negotiation, and post-closing integration.
- Lead legal work for Coinbase Ventures, including investments, secondary sales, and unique projects.
- Lead corporate governance matters for a wide variety of regulated and unregulated Coinbase entities and operations, both domestic and international, including preparing board and committee materials, corporate resolutions, and working with executive management and directors in preparation for and during board meetings.
- Provide creative, innovative, and effective legal solutions for business stakeholders on routinely short timelines.
- Partner closely with cross functional stakeholders, including legal, finance, accounting, corporate development, ventures, compliance, tax, equity, compensation and others.
- Assist with other various projects that may arise in an ever-changing legal environment.
What we look for in you (ie. job requirements):
- Approximately six or more years of relevant corporate legal experience at a leading law firm, or comparable in house practice.
- Excellent project management, negotiation, drafting, and time management skills.
- Excellent judgement, analytic rigor, and business pragmatism.
- Willingness to roll up sleeves (no job too big, no job too small).
- Must be active and in good standing in one State Bar in the United States, preferably in California or New York.
Nice to haves:
- Cross-border M&A experience.
- Expertise and experience in managing and maintaining US and international corporate entities.
- Passion for the crypto industry.
- Experience with regulated financial services firms.
