Why should you join the Legal team?

WWT's Legal Department has an opening for a contracts professional in WWT's Contracting function, which reports into the legal department. Reporting in to the Senior Manager of Contracts, as a Contracts Manager you will be responsible for the management, review and negotiation of commercial contracts. The successful candidate must be very detail-oriented, self-motivated and deadline driven with prior contract review/negotiation experience, preferably in the information technology industry.

Responsibilities:

  • Review, redline and negotiate customer (third party) terms and conditions for sale of technology products and services for commercial customers in the United States and abroad. These contracts may include Master Purchase Agreements, Reseller Agreements, Professional Services Agreements, Statements of Work, Subcontracts, NDAs, Teaming Agreements and other channel agreements.
  • Collaborate with other departments at WWT to engage Subject Matter Experts where needed.
  • Structure, draft and partner on contract negotiations both independently and in collaboration with the Associate General Counsel.
  • Act as primary liaison with WWT Associate General Counsel to facilitate legal review of non-standard requests from internal business teams or customers
  • Review Request for Proposal documents for legal risks and issues and guide the Proposals team to ensure legally compliant and accurate proposals are submitted.
  • Communicate effectively with internal departments to ensure proper execution of contracts and subcontracts.
  • Prepare contract summaries for internal departments when needed to address any non-standard terms and conditions or where approval is required.
  • Update contract request statuses, enter contract details and upload final contracts in the contract lifecycle management (CLM) system. Previous experience using a CLM system a plus.
  • Other duties as assigned.

Qualifications:

  • Bachelor's degree required with at least five (5) years' experience OR Juris Doctorate with 1 year minimum relevant experience reviewing, redlining and negotiating customer (third party) contracts or a broad range of standard commercial contracts.
  • A self-starter that can utilize their contract and risk knowledge as well as sound judgment to make time-sensitive decisions on complex or varied problems with minimal supervision.
  • Superior writing, analytical and communication skills, including experience engaging with sales and senior management.
  • Ability to quickly analyze advanced and complex transactions and propose innovative, creative and workable solutions.
  • Ability to work under pressure, address multiple competing priorities, and provide practical advice to business teams
  • Ability to develop strong relationships with internal business units and business management.
  • Team player willing to support fellow coworkers with urgent tasks.
  • In-house legal department experience is strongly preferred.
