General Summary:

We offer a hybrid schedule (minimum 3 days per week in office) at either our Portland, ME, or Chattanooga, TN campuses. Relocation assistance will be offered if the chosen candidate is outside of these areas.

The AVP of M&A position will play a key role in the development and execution of Unum Group's corporate development and M&A initiatives. The role's primary responsibility will be to assist the SVP, Head of M&A in executing the company's Merger & Acquisition (M&A) strategy in close partnership with C-suite and other senior executives across the business.

Principal Duties and Responsibilities

As a member of the M&A team, the AVP of M&A is a key player in driving the execution of buy-and sell-side M&A transaction, strategic partnerships / investments, and joint ventures. Working in close coordination with the Head of M&A, this person will:

  • Work with the Corporate Strategy team, business leaders and other internal constituencies in (a) identifying opportunities which further Unum's growth initiatives through acquisitions and partnerships and (b) evaluating potential dispositions of businesses
  • Participate in the dialogue with bankers, consultants, and other outside parties and maintain an up-to-date knowledge of M&A market trends, and developments in markets that Unum competes in or is looking to enter; keep senior management apprised of the information gathered
  • Prepare analyses of various corporate initiatives potentially involving acquisitions from a strategic and financial perspective; assess the viability and desirability of alternatives to accomplish the goals of such initiatives
  • Take active role in the execution of M&A transaction, including the initial evaluation, due diligence, drafting and negotiation of definitive legal documentation, integration / transition planning, securing of external and internal approvals required for entering and closing a transaction, and any post-closing matters, such as the settlement of disputes with counterparties
  • Manage / coordinate internal (direct reports and otherwise) and external resources (consultants, investment bankers and other advisors) as needed to execute on M&A activities
  • Build credibility and establish effective working relationships with internal constituents throughout the organization, and be seen as a team player, trusted advisor and business partner to the lines of business and to corporate who can build consensus and influence outcomes, while challenging thinking
  • Contribute to the development of an "integrated" M&A function that embraces partnerships with key internal constituents, including senior management, the Board of Directors, business unit leaders, corporate financial management (accounting, treasury, risk, tax) and other corporate staff (legal, human resources, technology, etc.)
  • Develop and document strategies and best practices for deal analysis and due diligence, memorialize deal take-aways, organize precedent documents to be readily available as reference for future M&A deal team members

Job Specifications

  • Bachelor's Degree required, MBA preferred
  • 5-10 years of experience in investment banking, management consulting, business strategy, or corporate finance
  • Comfortable working at all levels in the organization from the C-suite to business unit professionals; team builder
  • Assimilate and adapt to Unum's culture while managing change using strong influencing skills, while operating in a new/unfamiliar environment, and working effectively within a highly matrixed organization
  • Foundational knowledge of typical insurance valuation, accounting, and tax matters
  • Familiarity, and preferably prior experience with the conduct of buy- and sell-side M&A processes
  • Ability to read and interpret legal agreements; understanding of the elements of typical M&A transaction documentation
  • Strong problem structuring and analytical skills
  • Strong financial modeling skills
  • Strong verbal and written communication skills
  • Superior project management skills; strong collaborator; able to effectively work with internal and external subject matter experts, such as lawyers, accountants, tax experts, and actuaries
  • Able to thrive under pressure: comfortable with tight deadlines, fast turnaround times and ambiguity

The base salary range for applicants for this position is listed below. Unless actual salary is indicated above in the job description, actual pay will be based on skill, geographical location and experience.
$114,100.00-$215,700.00

Additionally, Unum offers a portfolio of benefits and rewards that are competitive and comprehensive including healthcare benefits (health, vision, dental), insurance benefits (short & long-term disability), performance-based incentive plans, paid time off, and a 401(k) retirement plan with an employer match up to 5% and an additional 4.5% contribution whether you contribute to the plan or not. All benefits are subject to the terms and conditions of individual Plans.
