UKG seeks a Corporate Counsel to join our Corporate Affairs team. The role will support our M&A, securities & equity compensation, and corporate secretarial functions. In this role, you'll work cross-functionally and act as a facilitator on various domestic and global legal matters. Reporting to the Assistant General Counsel, Corporate Affairs, you will be expected to identify and analyze legal issues and risk, draft and review key documents, present clear recommendations to senior leaders, manage external counsel and costs and provide support on a wide range of issues, as set out below. As the role will flex across a range of issues, we are looking for someone with experience managing initiatives independently and a demonstrated record of strong business judgement.
Key Responsibilities May Include:
- Support mergers and acquisitions, divestitures, strategic investments, and commercial transactions. This includes drafting, reviewing, and negotiating various transaction documents, as well as managing outside counsel.
- Support the administration of our equity compensation matters, including our periodic liquidity windows and securities compliance.
- Ensure compliance with applicable laws, regulations, and covenants with respect to the Company's indebtedness, including advising on disclosure obligations.
- Advise on corporate governance best practices and support Finance on intercompany transactions.
- Assist our secretarial function, including preparing resolutions and materials for our subsidiaries' annual meetings, managing corporate governance and compliance matters, and maintaining minute books and corporate records
Basic Qualifications:
- Law degree and good standing with the applicable State Bar.
- At least 6-8+ years of relevant corporate legal experience, preferably covering M&A, securities, corporate governance, and equity compensation matters.
- Mix of law firm and in-house environments; public company experience is a plus.
- Strong knowledge of corporate governance principles, M&A processes, and securities laws.

- Excellent interpersonal, communication, analytical, and influencing skills, with a strong emphasis on the ability to articulate complex legal issues in a clear and actionable way.
- Flexibility in a high-growth, changing workplace, including having a company-first attitude when asked to contribute to initiatives across the legal department.
- Demonstrated ability to tackle complex, cross-functional projects and establish credibility with internal and external executive stakeholders.
- Ability to proactively manage multiple projects simultaneously.
- Experience developing collaborative relationships with internal and external partners.

The pay range for this position is $142,100 to $204,200 USD however, base pay offered may vary depending on skills, experience, job-related knowledge and location. This position is also eligible for a short-term incentive and a long-term incentive as part of total compensation.
