Department Overview:
The TD Legal Corporate & Subsidiary Governance Team (CSG) contributes to TD's compliance with regulatory obligations and best practices in corporate governance. We are looking for an individual to support the CSG Regulatory Compliance Management (RCM) program on corporate governance laws, rules and regulations that apply to the Bank and its subsidiaries. Reporting to a CSG lawyer the Law Clerk works closely with internal stakeholders and partners to support governance and control activities for the program.
Key Accountabilities include:
- Provide support and assist with overall management of the RCM program, processes, and deliverables.
- Utilize corporate law skills to understand and execute on RCM fundamentals and objectives.
- Support RCM program elements including onboarding and training, global regulatory inventories and controls, risk assessments, regulatory change management, issues management, reporting, and monitoring and testing.
- Identify and analyze emerging trends and evolving regulatory requirements.
- Facilitate coordination and communications between the CSG Oversight Function and Risk Owners globally, and with Compliance partners.
- Provide analytical support, reporting and insights on RCM processes.
- Coordinate tracking of program deliverables.
- Prepare or contribute to summaries, communications, reports and presentations.
- Support updates to the CSG procedures to align with enterprise RCM Framework and Standards.
- Support creating and maintaining other documents including precedents, checklists, action plans, job aids, etc.
- Become a MERLIN (eGRC) subject matter expert and provide support/assistance to CSG users to help navigate the system, and support MERLIN workflow processes.
- Conduct quality assurance and quality control activities to maintain data accuracy and data completeness.
- As a subject matter expert, act as a resource on RCM questions.
- Support ad hoc analysis, transformation changes, projects/tasks or other activities as assigned.
- Contribute to high priority Legal Department initiatives, including knowledge management and workflow improvement.
Job Requirements:
- 5 years of experience as a corporate law clerk at a financial institution, other large organization, or law firm is preferred.
- Law Clerk, Paralegal or equivalent designation.
- Experience in the areas of legal, compliance, governance and control, risk management, or regulatory is preferred.
- Knowledge of legal concepts, principles, terminology, and corporate procedures.
- Proven relationship management skills and a strong team player.
- Must be highly organized and have excellent time management.
- Creative in solutioning with a strong attention to detail.
- Proficient in MS Office Applications (i.e. Word, Excel, Adobe, Outlook, PowerPoint)
- Strong verbal and written communication skills.
- Ability to work independently and as a member of a team.
- Flexibility to quickly adapt to changing priorities and ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.
- Ability to deal effectively with senior management within TD.
- High energy and enthusiastic.
