Job Description:

Legal counsel providing advice related to broker-dealer activities with a focus on fixed income institutional sales and trading and municipal securities regulation. The optimal candidate will be a subject matter expert on broker-dealer and securities laws (Securities Act of 1933, Securities Exchange Act of 1934, MSRB rules, and related rules and regulations, including FINRA rules).

Job Description

Primary responsibilities include:

  • Transactional and advisory support to fixed income sales and trading businesses.
  • Provide regulatory advice for the municipal securities business, both origination and secondary trading.
  • Provide regulatory advice on a wide range of issues including market access, trade reporting, consolidated audit trail, data and information management and retention, electronic trading, advertising and marketing.
  • Draft and negotiate trading and related agreements in connection with trading platforms, electronic trading, market data, software licensing and direct market access.
  • Work closely with Trading Business Management and Compliance to implement and develop internal procedures and controls.
  • Work with Litigation and Regulatory Investigations to respond to regulatory inquiries and document requests.
  • Follow legislative and regulatory developments including through membership in industry associations.

Preferred Qualifications/Competencies/Accreditation:

To fulfill the responsibilities of the position, the candidate must be qualified to practice law in NY State with a minimum of 6 years' experience in a law firm and/or an investment bank legal department.

A combination of law firm and in-house experience is preferred. The professional will have a diverse range of financial products knowledge and strong writing and research skills. The successful candidate will have effective communication skills, strong issue spotting skills, be attentive to detail, be able to work independently and possess a collaborative and congenial temperament.

As part of an established team, the legal counsel will provide day-to-day legal advice, assist in the development of new products, represent Legal in working groups and multi-disciplinary committees and assist in the implementation of compliance programs consistent with new legislation and regulation. Working closely with the business as well as other support functions, the candidate will be expected to develop relationships with senior stakeholders. The candidate must be an effective team player and flexible in adjusting to changing work priorities.

The Dir - Legal TDS provides oversight, legal advice and support to TD Bank management in Corporate Group Functions and Business Units. Functions as legal expert in one or more defined subject matter areas and/or specific business lines. Provides high level legal advice to specific business area(s), may prepare resolutions, contracts, memoranda to management, litigation documents and forms and participates in major legal actions. Foresees and protects the Company against legal risks.

Depth & Scope:

  • Manages other Senior Counsel, Counsel, Associate Counsel and/or paralegal staff, assigning responsibilities and evaluating results
  • Provides leadership, coaching, counseling and guidance to staff
  • Supervises external counsel providing advice or other legal services of the Company
  • Works closely with General Counsel, department attorneys and external legal counsel on specific legal issues related to the Company's business
  • Serves or may lead in one or more permanent or ad hoc practice groups or cross-practice teams of attorneys and staff
  • Advises lines of business on best practices that help minimize legal and litigation risk
  • Assists General Counsel in developing and managing departmental budget for both internal and external legal spend
  • Leads highly complex and sensitive negotiations; considers the long-term consequences and coaches clients towards protecting the Company's interest
  • Anticipates client needs; deals with complex legal issues; clearly delivers difficult messages without jeopardizing client relationships
  • Gives pragmatic legal opinions with reasons and rationale
  • Provides advice in ambiguous situations; identifies and prevents future legal risks; identifies and takes action on future opportunities
  • Resolves most situations where conflicts arise between the needs and desires of specific business units and the interests of the Company without requiring intervention of more senior attorneys
  • Recognizes opportunities to use legal expertise to make a contribution to the business; is viewed by the client as a business partner
  • Demonstrates highest professional ethical and behavioral standards and complies with all applicable Bar Rules and Codes of Professional Responsibility, and corporate ethical and behavioral standards
  • Participates in special projects and performs additional duties as required
