Job Description:
The Head of Shared Services Governance & Control is accountable for leading / managing the overall operational effectiveness, in support of the function's own first line of defense accountabilities, for Shared Services. The Head of Shared Services Governance & Control coordinates with business unit leaders/partners, and various control/enabling groups across TD, including Risk Management, Finance, Compliance, Legal, Vendor Management, Retail Credit Review, AML, Regulatory, Audit and lines of business to ensure consistency when implementing programs, initiatives, policies and standards. The Head of Shared Services Governance & Control overseas/leads a "Center of Excellence" for Risk Management, Governance, and Control for all of Shared Services. This is the first point of contact for all Vendor Management, Enterprise Risk Initiatives and relationship management for Regulatory and Audit.
Depth & Scope
- Leads Governance & Control for Shared Services through the development, communication and implementations of a holistic performance and governance strategy for the business in support of the overall business strategy
- Oversees Governance & Control activities, through the assessment of risks and recommend changes based on business information from the various control function partners, including Risk Management, Compliance, Legal, Vendor Management AML, Regulatory, Audit and lines of business
- Works with business unit management/partners to develop and implement proactive strategies, tactics and programs to effectively manage regulatory and governance issues
- Maintains a culture of risk management and control, supported by effective processes and sound infrastructure and in alignment with risk appetite
- Assesses the effectiveness of the business governance and control programs, including conducting research as required to determine best practices
- Liaises with the different functional areas across the bank to ensure ongoing operational effectiveness, including but not limited to Human Resources, Finance, Risk Management, Compliance, Vendor Management, Retail Credit Review, Regulatory, AML, Audit, Learning & Development, EPMO and Technology
- Represents the business on all Risk Management, Compliance, AML Vendor Management, Retail Credit Review, Regulatory and Audit related initiatives, reviews and in implementing / executing governance and controls related plans and requirements
- Keeps up to date on regulatory issues affecting the governance and control of the business
- Supports TD's enterprise-wide risk strategies and control function requirements
- Contributes to improved understanding of governance and control requirements, emerging trends and issues specific to the business unit
- Acts as the business representative for all audits to ensure they are executed and completed in accordance with established standards and within prescribed time, budget and scope parameters
- Leads/implements and/or conducts due diligence process reviews for potential areas of risk to ensure the business is always prepared for internal and external audit reviews
- Provides insight or guidance to the executive leadership team to help inform or support decisions as appropriate
- Provides functional / business level communications to ensure messages to stakeholders and/or employees are consistent, appropriate and aligned to business strategies and executive management direction
- Responsible for management of the overall team(s) providing both leadership and guidance
- Sets targets and objectives for the team, and deliver results Grows team expertise to align with enterprise demand and the Bank's direction; assesses team skills and capabilities and continually looks for ways to provide and enhance the value delivered
- Fosters an environment / culture that encourage productivity, innovation, process improvement, teamwork and a high level of professionalism
- Provides coaching, development, succession, recruitment, resource management and overall team leadership for team members and provide regular input into team members assessment of performance and development plans
Education & Experience:
- Bachelor's degree preferred or progressive work experience
- 10+ years of related management experience required
- Expert knowledge at the enterprise or group business level requiring a broad managerial and deep specialized knowledge of operational risk management issues at the enterprise, business, regulatory and industry levels In-depth knowledge of principles, policies and practices related to Shared Services
- Strong business acumen and analytical capabilities ability to consolidate information into clear, concise analysis in support of business decisions
- Forward thinking and strategic thinking capabilities in order to support the business in executing on strategy
- Ability to influence and motivate others, including those who do not have a direct reporting relationship

Position Summary
The 1B Governance & Control team is responsible for enabling the business to identify and understand the risks it faces and supports the business in managing its risks appropriately in alignment with the Bank's strategy and risk appetite.
The primary accountabilities of the role include leading a global 1B Governance & Control team to deliver and manage effective first line operational control processes. The role is also accountable, as a team independent from the day-to-day process, to implement and maintain appropriate mitigating controls, and assess the design and operating effectiveness of those controls in a Global operating environment.
The group's primary responsibilities include identifying and implementing solutions that focus on promoting a strong risk management culture, improving our control consciousness, our agility to respond to business and regulatory needs and strengthening our operational leadership. The incumbent should have an advanced knowledge of the Three Lines of Defence framework, and how this aligns to the Governance & Control mandate for businesses across a Global Wholesale Bank.
The incumbent is also responsible to explore and deliver leading edge innovation and process improvements and to create a 'learning' organization through leadership, coaching and guidance.
Specific responsibilities include:
- Identify strategies to build out Governance & Business Control capabilities while owning the successful delivery of the First Line control mandate
- Identify opportunities to align processes and provide guidance on pan TDS Governance & Control programs
- Serve as the Centre of Excellence in driving the governance, standards and operating model for Business specific to change governance, New Products, enterprise risk programs e.g. Accessibility
- Lead the strategic and tactical direction of Governance & Control team, ensuring alignment with the TDS strategy and mandate
- Act as a specialist owner or representative in the definition, implementation, and execution against the Business Governance & Control strategies and priorities and ensure the controls remain appropriate and effective
- Review and approve the Change Risk Assessments that Business prepares for any material change impacting TDS
- Develop proactive reporting on key risk and control metrics
- Modernize internal controls and develop seamless processes to meet current and future regulatory expectations with speed and agility while championing and challenging operational units
- Design, implement and align effective governance, risk and control processes to support business growth while operating within our Risk Appetite
- In partnership with the various global teams, work to revise, implement, and produce key risk metrics across the TDS regions
- Establish and document key controls - including monitoring and testing - to ensure ongoing compliance with all internal regulatory and control requirements
- Build and foster an environment of innovation that leads to working smarter and simpler
