Meta is seeking an experienced Associate General Counsel to join the Legal department's corporate team. This role requires operating independently in a fast-paced environment and working proactively with various teams across the organization, including executive operations, human resources, finance, investor relations, and corporate communications.

Associate General Counsel, Corporate Responsibilities:

  • Advise on complex securities law compliance and disclosure matters, with emphasis on disclosure controls and procedures, metrics reporting, executive compensation and perquisites, and capital markets.
  • Work with cross-functional teams to build and enhance internal processes.
  • Assist with preparation of SEC and other corporate regulatory filings, including proxy statements and reports on Forms 10-K/Q.
  • Assist in corporate governance matters, including oversight of corporate policies and preparation of board and committee materials, with emphasis on compensation-related matters.
  • Coordinate with and manage outside corporate counsel.
  • Distill complex legal matters into actionable advice.

  • J.D. degree (or foreign equivalent)
  • Active membership in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned work location)
  • 8+ years of legal experience as a practicing attorney, including at a law firm and/or in-house or government experience
  • Demonstrate business judgment and client counseling skills
  • Effective communication skills
  • Corporate and transactional experience with public companies. Emphasis on SEC and regulatory compliance, executive compensation, and corporate governance.
  • Experience leveraging organizational skills and strategic thinking, and experience working autonomously and with cross-functional teams.
  • Demonstrated pattern of roles with increasing responsibility.
Preferred Qualifications:
  • In-house experience and prior AmLaw 100 law firm experience

$198,000/year to $266,000/year + bonus + equity + benefits

Compensation details listed in this posting reflect the base hourly rate, monthly rate, or annual salary only, and do not include bonus, equity or sales incentives, if applicable.
