As Associate General Counsel, Commercial and Corporate, you will be a key strategic leader responsible for building and scaling our corporate and transactional legal functions during a pivotal growth phase. This is a unique opportunity to join a mission-driven healthcare technology company where legal is viewed as a strategic partner in enabling compliant growth. You will oversee all aspects of Headway's commercial relationships, with particular focus on contracts with insurance companies and strategic partners. While we prefer candidates based in New York, we will consider exceptional candidates in the Bay Area and Seattle.

You will:

  • Serve as a strategic advisor to the executive team on commercial contracting and corporate governance
  • Build and lead high-performing commercial legal team while developing scalable contracting operations
  • Develop and implement efficient processes for negotiating, reviewing, and managing agreements with insurance payers and healthcare providers
  • Create standardized contract templates, negotiation playbooks, and approval workflows to support rapid scaling
  • Establish and oversee contract lifecycle management systems and reporting metrics
  • Structure and oversee healthcare-compliant commercial relationships that accommodate multi-state regulatory requirements
  • Partner cross-functionally with our Payer, Finance, and Operations teams to enable growth while managing risk

You would be a great fit if you have:

  • 8+ years of legal experience with significant in-house leadership experience in commercial contracting
  • Deep expertise in healthcare payer contracts, provider agreements, and regulatory frameworks
  • Experience establishing efficient commercial contracting processes in high-growth healthcare or healthcare technology companies
  • Strong understanding of healthcare corporate structures (MSO, provider networks) and their impact on commercial relationships
  • Proven track record scaling legal functions and building high-performing teams
  • History of successful cross-functional partnership and executive stakeholder management
  • JD from accredited law school and active bar membership in good standing (ability to register as NY in-house counsel required)

Compensation and Benefits:

The expected base pay range for this position is $204,000 - $300,000, based on a variety of factors including qualifications, experience, and geographic location. In addition to base salary, this role may be eligible for performance-based variable compensation and an equity grant, depending on the position and level.
