Sr. Counsel - Real Estate & Commercial

Location: Hybrid - Kohler, WI

Opportunity

Provide legal support and guidance on corporate real estate transactions and commercial matters.

Specific Responsibilities

Real Estate:

• Serve as a strategic and legal partner to Corporate Real Estate team. Support domestic and international greenfield expansions, land acquisitions, leases, and divestitures for all business units and corporate functions. In-depth knowledge of real estate legal matters allows candidate to operate independently with limited guidance and allows candidate to become subject matter expert for broader legal team.
• Negotiate and draft lease agreements, subleases, and purchase and sale agreements to support the company’s production, supply chain, and sales real estate needs.
• Lead real estate due diligence in support of enterprise M&A activity.
• Draft and negotiate construction-related agreements for facility buildout, expansion, or redesigns.
• Understand enterprise-wide real estate strategy to develop legal strategic plans in playbooks in support of strategy. Manage and update key templates as needed, and provide training to Corporate Real Estate team on frequently discussed legal topics.
• Protect business interests and advise management with respect to risks associated with negotiated agreements.

Commercial:

• Provide legal counsel on commercial matters to corporate functions and diverse international business groups (Kitchen & Bath, Luxury & Wellness, and Hospitality).
• Partner closely with business leaders to enable proactive advice and counsel in support of enterprise strategic goals.
• Negotiate and draft domestic and international commercial agreements (including, but not limited to, supply & purchase agreements, service agreements, development agreements, NDAs, and licensing agreements).
• Protect business interests and advise management with respect to risks associated with negotiated agreements.
• Work with the Commercial Legal team and key business contacts to align on commercial agreement language and strategy and provide training to upskill business teams regarding legal issues in the negotiation and implementation of commercial agreements.

Skills/Requirements

• Undergraduate and law (L.L.B. or J.D.) degree.
• Licensed to practice law in the State of Wisconsin or licensed in another state bar with ability to obtain Inhouse counsel status in Wisconsin.
• 5+ years’ experience as a practicing lawyer working on real estate and commercial transactional matters either in private practice or with a corporate legal department.
