Travel Legal seeks a skilled attorney to advise on transactional matters for and provide business counsel to Chase Travel Group's shared services, leisure and entertainment travel, host agency, B2B travel loyalty and rewards, travel and expense management consulting, and supplier relations business verticals. Furthermore, the role will help advise on legal and regulatory issues affecting the travel industry, with a focus on compliance with state, federal, and international regulatory and other governmental agencies regulating the sale of travel. The ideal candidate is an experienced attorney with a strong background in corporate governance, regulatory compliance, and transactional matters and able to navigate the complexities of the travel industry. The position would preferably be located in Plano, Texas and would report directly to a senior attorney on the Travel Legal team. Travel Legal is part of the larger Consumer and Community Banking (CCB) Strategic Transactions and Connected Commerce Legal Team.

Job Responsibilities

  • Advise on and interpret legal and regulatory issues impacting the travel industry, focusing on compliance with state, federal, and international agencies regulating the sale of travel.
  • Draft and negotiate transactions for shared services, leisure and entertainment travel, host agency, B2B travel loyalty and rewards, travel and expense management consulting, and supplier relations business verticals, including, but not limited to, client services agreements, supplier agreements for travel content, travel technology vendor agreements, and host agency agreements.
  • Research laws and regulations applicable to online and retail brick-and-mortar travel agencies operating in the U.S. and abroad.
  • Monitor legislative changes and assess their impact on business operations, and provide updates to impacted stakeholders.
  • Collaborate with other functional partners to develop strategies and training for regulatory compliance.
  • Provide strategic, commercially pragmatic and transparent advice to business clients as to the reasonableness or viability of any aspect of a transaction from a legal perspective.
  • Provide transactional and other legal support for business teams across Chase Travel Group and Connected Commerce and Strategic Transactions, as needed.
  • Provide ongoing support and assistance to business clients, other legal teams and functional partners as to contract interpretation.
  • Collaborate with other functional partners to ensure appropriate awareness and escalation of issues as they arise while being sensitive to confidentiality restrictions.
  • Issue-spot, research and appropriately escalate risks and concerns that may exist with any potential deal type, for example anti-trust, bank regulatory, UDAAP, data, privacy and security concerns.

Required qualifications, capabilities and skills

  • At least 5 years post-admission experience in a law firm or in-house and must be licensed to practice law and a member in good standing in the state in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state.
  • On point transactional experience with strong technical drafting and negotiation skills.
  • The ability to stay calm when the pressure is on and the confidence to be outspoken when necessary while maintaining a good sense of humor.
  • Entrepreneurial, business-minded, and a creative problem solver.
  • The ability to be flexible, work comfortably in a fast paced environment, pivot between priorities and have the perseverance and patience to see a matter through to completion.
  • The ability to see past the question, understand the wider strategy and think tactically to get to the best result for all parties.
  • Some travel, as required, e.g. to support business needs.

Preferred qualification, capabilities, and skills

  • Familiarity with travel and travel technology vendor transactions.
  • Familiarity with consumer protection and travel-related regulations and rules.
  • Prior experience with banking and financial services regulations.
