BlackRock's Legal and Compliance team works with business teams to develop investment management products and business solutions that comply with the numerous legal and regulatory requirements to which BlackRock is subject and to deploy capital managed on behalf of clients. Legal and Compliance is responsible for, among other things, overseeing regulatory matters; coordinating litigation and legal proceedings; negotiating and structuring contracts and other complex transactions; providing ongoing legal advice across investment platforms regarding new and existing products, strategies and investments; establishing legal and compliance policies and procedures that meet applicable regulatory requirements and testing the operative effectiveness of those policies and procedures and conducting training.
L&C Infrastructure Investments - Transactions Group Attorney
BlackRock is searching for an experienced infrastructure transactional attorney who will provide legal coverage of transactions and investments across the BlackRock infrastructure investment platform, Global Infrastructure Partners, a part of BlackRock, which manages approximately $170 billion in AUM with over 600 employees and a diversified portfolio of over 300 active investments with operations in over 100 countries. This role will have a key responsibility for supporting business activities relating to debt financing, equity investments, acquisitions, sales and joint ventures in the energy and infrastructure sectors. The ideal candidate must have the ability to coordinate complex projects and transactions involving different business groups and multiple products.
The successful candidate will partner with portfolio managers, tax, operations, product lawyers, compliance team members and external lawyers and will be responsible for advising on as well as negotiating complex legal transactions in connection with investments made on behalf of BlackRock clients and funds.
Primary Responsibilities
- Lead and manage the negotiation and execution of infrastructure investments on behalf of BlackRock funds and accounts under management.
- Review, draft and/or manage outside counsel review of investment documentation including purchase agreements, shareholders agreements, power purchase agreements, construction and operating and management agreements, credit agreements, indentures, letters of intent, equity and debt commitment letters, confidentiality agreements and other similar transactional documentation.
- Manage external deal counsel, in conjunction with the investment team, and work closely with portfolio managers, colleagues on the global Legal Transactions team and the compliance, tax, risk and operations teams during execution of a transaction.
- Provide advice and support to internal stakeholders to develop, establish and improve internal processes relating to investments.
- Coordinate with compliance teams with respect to information barriers, restricted list reviews, inside information, thresholds and other regulatory coverage areas including FERC, antitrust and merger control considerations.
- Take initiative to identify and analyze problems, generate alternative solutions and make decisions with little direction/supervision.
- Organize training sessions for the business and keep abreast of key market terms and conditions.
Requirements
- A J.D. with superior academic credentials from a nationally-recognized law school and five to seven years' experience as a lawyer in a major law firm or the legal department of an asset manager.
- Significant experience in infrastructure project transactions.
- Strong technical legal and commercial skills.
- Experience advising fund managers and non-bank institutions as investors, sponsors or lenders is a key attribute.
- Ability to oversee and effectively manage outside counsel and internal stakeholders.
- Strong organizational skills and ability to work with others and manage multiple time sensitive matters in a demanding, fast-paced and fluid environment.
- Motivated team player with ability to work independently and potential to lead as necessary.
- Ability to take initiative to anticipate, identify and analyze issues, generate potential solutions and make decisions independently.
- Exceptional interpersonal, analytical, written and oral communication skills - must be able to resolve complex issues in a practical manner on a compressed timeline and to communicate complex concepts in an understandable way.
- Excellent written and verbal communication skills - presents ideas in a clear, concise and constructive manner.
For New York City only: The salary range for this position is $176,000 - $229,500. Additionally, employees are eligible for an annual discretionary bonus, and benefits including heath care, leave benefits, and retirement benefits. BlackRock operates a pay-for-performance compensation philosophy and your total compensation may vary based on role, location, and firm, department and individual performance.
