Role Description
This role will be responsible for providing legal support and advice on a daily basis for business activities in China WMC, utilizing a high level of intellectual agility and creativity. This role also involves responsibility for the Board and Shareholders' Committee related matters under the robust corporate governance framework.
Responsibilities
- Review, draft and assist in the negotiation of agreements in support of China WMC's business operations (e.g. WMC product documents, fund contracts with third-party managers, procurement agreements, trading agreements, and other legal documents);
- Assist with product development and structuring including fixed income products, QDII, and retirement products, and expansion into new asset classes such as equity, bonds, derivatives and any other standard or non-standard instruments;
- Provide ongoing advice regarding products, investment instruments, sales activities, internal control and strategies based on an in-depth understanding of regulatory requirements and market insights;
- Liaise with regulators, industry groups and self-regulatory bodies to advocate for China WMC's initiatives and respond to consultation papers (if applicable);
- Negotiate different forms of agreements or contracts, including custodian agreements, distribution agreements, fund contracts, etc.;
- Proactively identify changes in laws/regulations and keep internal stakeholders informed of these changes and their impacts on China WMC's business;
- Prepare and draft board meeting/shareholders' meeting materials and assist in the convening of the meetings in accordance with PRC Company law, China WMC's Articles of Association, Shareholders' Agreements and the annual Board/Shareholders' Committee proposals plans;
- Establish legal policies and procedures, including contracts management, seals and stamps management, authorization management, intellectual property management and Legal cases management, etc.;
- Work closely with the Compliance team to ensure business practices align with laws and regulations; and maintain consistency in delivering L&C advice;
- Work closely with other functions including overseas colleagues to ensure effective delivery of L&C deliverables in projects which involve cross-functional collaboration;
- Effective engagement and management of external counsel, including cost management;
- Deliver legal training needs.
Qualifications
- PRC bar qualification or licensed to practice law in China, with a minimum of 8 years relevant working experience;
- Candidates from top-tier law firms or the L&C department of leading bank wealth management institutions, FMCs, securities firms or other leading asset managers; Experience from wealth management company and/or bank wealth management institutions are preferred;
- Solid experience and knowledge in advising on bank wealth management products, mutual funds, private funds, trust or other standard and non-standard asset management products;
- Familiar with legal and regulatory aspects throughout the life cycle of an asset management or wealth management product;
- Experience (including providing legal support) in company secretarial work and corporate governance;
- Provided legal support to establish relationships with regulators and self-regulatory bodies;
- Build proactive/collaborative relationships with onshore/offshore stakeholders and be able to manage business expectations from legal perspective;
- Excellent time management, organizational and prioritization skills;
- High-level proficiency in both written and spoken Chinese and English;
- Strong attention to detail, sound business judgment and commercial acumen;
- Willingness to learn and evolve with the business growth.
