BlackRock's Legal team works with business teams to develop investment management products and business solutions that comply with the numerous legal and regulatory requirements to which BlackRock is subject and to deploy capital managed on behalf of clients. The legal transactions team sits within the wider BlackRock legal team and is responsible for advising investments teams on all transactions across debt, infrastructure and equity.

L&C Transactions Group Lawyer

We are searching for a transactional lawyer to handle a range of fund co-investment, venture capital and growth equity transactions. The successful candidate will be a motivated lawyer with detailed knowledge of fund structures and broad experience advising on co-investment transactions and / or secondary transactions. Additional experience in private equity, growth equity and / or venture capital transactions is an advantage and an interest in expanding expertise into these areas will be critical to the role.

Whilst working as part of the BlackRock legal department, the successful candidate will partner with portfolio managers, tax, operations, product lawyers, compliance team and external lawyers and will be responsible for advising on as well as negotiating complex legal transactions in connection with investments made on behalf of BlackRock itself and BlackRock clients and funds.

Primary Responsibilities

  • Take a lead role in the legal coverage of BlackRock's fund co-investment platform (which includes a mixture of investments via fund structures and those made directly into companies through minority investments or participation in fundraising rounds).
  • Assist, as needed, in the coverage of BlackRock's private equity, growth equity and venture capital investment platforms.
  • Act as lead transaction counsel on deals, managing transaction execution and reviewing / negotiating a full range of deal documentation.
  • Manage external deal counsel, in conjunction with the investment team, and work closely with portfolio managers and internal BlackRock teams during the execution of transactions;
  • Organize training sessions for the business and keep abreast of key market terms and conditions.

Requirements

  • Professional background will include previous post-admission experience of 3-6 years, with the majority spent at a leading international law firm or in-house at a fund or financial institution. In-house secondments are an advantage but not a prerequisite.
  • Significant experience in fund co-investment transactions.
  • Additional experience in private equity and venture / growth equity including knowledge on market terms is helpful .
  • Strong technical legal and commercial skills and experience advising portfolio managers.
  • Ability to oversee and effectively manage outside counsel and internal stakeholders.
  • Solid organizational skills and the ability to work with others and manage multiple time sensitive matters in a demanding, fast-paced and fluid environment.
  • Must be fluent in English.
