Overview

Waters Corporation (NYSE: WAT) is offering an exciting opportunity for a Director of Legal, Securities and Transactions. Reporting to the VP, Deputy General Counsel for Corporate Development and Intellectual Property, this role is responsible and accountable on an enterprise basis to lead or assist with legal strategy and execution for a variety of public company matters, including U.S. public company compliance, governance, and reporting, corporate finance matters, investor relations, and strategic transactions such as venture investments, mergers, divestitures, and acquisitions.

The Director of Legal, Securities and Transactions must be able to partner effectively at the executive level, work collaboratively through direct and indirect authority across boundaries and geographies, and work across the enterprise and the global Legal team. This role will be a trusted advisor to members of the corporate finance senior leadership team.

This role offers an opportunity for an ambitious and talented attorney to join a high performing Legal team within a dynamic business focused on solving problems that matter to leave the world better than we found it.

Responsibilities

  • Responsible for supporting the VP, Deputy General Counsel for Corporate Development and Intellectual Property and General Counsel in all aspects of corporate governance matters related to the Board of Directors and its Committees
  • Managing complex corporate governance obligations for the Company in connection with strategic transactions and tax and finance initiatives around the globe
  • Lead legal advisor for all of the Company's disclosure reports, including the Company's Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Proxy statement, and any Registration Statements
  • Manage the process and oversight of the Company's insider program and Section 16 filings
  • Provide legal support to Corporate Finance on intercompany transactions, debt offering and other corporate finance related matters
  • Responsible and accountable for the management of the Company's Annual Meeting of Stockholders
  • Responsible for effective management of outside counsel and vendors across a wide variety of legal and regulatory matters
  • Proactively monitor legal and regulatory trends and advise on the impact to the enterprise
  • Create and deliver training on key legal, public company compliance and corporate governance issues
  • Responsible for delivering against the Company's sustainability goals related to Governance

Qualifications

  • A high-quality lawyer with 5+ years of experience in public company corporate governance, securities, SEC reporting and corporate finance matters.
  • Excellent communication skills and a demonstrated ability to maintain strong working relationships with all stakeholders across the organization, including the executive level and Board of Directors.
  • Outstanding presence and maturity, with strong interpersonal and leadership skills
  • Must execute both strategically and tactically, with strong business acumen and a demonstrated ability to understand business goals and objectives and develop effective legal strategies
  • Operate with a high degree of urgency to address enterprise issues and needs
  • Operate with unquestioned integrity, transparency, judgment, and humility
  • Ability to work cooperatively with others and to function well in a team environment
  • Thrive in a fast-paced, innovative environment with the ability to manage numerous matters simultaneously under deadlines and with limited supervision
  • Well-organized and possesses strong planning skills, with extremely high attention to detail
  • Highly self-motivated, with the ability to gain trust and credibility
