Your new role

The Senior Director, Regulatory Affairs - LATAM has two main areas of responsibility: Competition and Regulatory/Policy. This includes obtaining approvals from competition and regulatory authorities in LATAM for all deal activity enterprise-wide (including merger control, foreign direct investment filings, filings related to required licenses, and any country-specific filings), negotiating and managing consent decrees, defending the company against inquiries and investigations by LATAM regulatory authorities, and providing advise & counsel on competition and regulatory matters across all business units operating in LATAM, which includes advising on negotiation dynamics and interactions with competitors, reviewing contractual clauses, analyzing potential deals for regulatory viability, etc. It also includes responding to requests for information that our company routinely receives from LATAM regulators to opine on pending third-party deals and investigations.

In addition, this role works closely with the Government Affairs team, actively developing company policy and strategy in how to handle various legislative and regulatory initiatives that impact our business in LATAM, including network fees on content providers; content quotas and investment obligations. This role engages with governmental authorities, drafts policy papers and participates as WBD representative in industry-wide initiatives.

The role requires expertise in competition law and knowledge of regulatory frameworks. A high motivation for learning is also key considering competition is an area of the law that continues to change and expand in application across the globe, and the type/scope of regulation imposed on our industry is only increasing. The position also requires effective collaboration, organizational skills and critical thinking to obtain and process information from many different sources. It is crucial to understand the business and the industry to properly identify and advise on highly complex competition matters which are sensitive and present high risk to the company.

Your role accountabilities

  • Lead on providing competition legal advice and counsel to all WBD business groups operating in LATAM, liaising with the M&A team for transactional work; with the International Legal team for contractual and commercial work; with the Studios & Networks team for theatrical distribution and production work; and with the global distribution legal team for digital agreements.
  • Lead on regulatory analysis for transactions WBD is contemplating and advise on deal structure. Devise strategy and execute on regulatory filings in all LATAM territories for all transactions, liaising with internal stakeholders - this includes merger control, foreign investment filings and other required filings for clearance of transactions. Manage any merger conditions resulting from transaction approval where applicable. [This can occupy 100% of the time when there is a large pending transaction]
  • Lead on antitrust investigations against WBD by regulatory authorities across LATAM. Manage any consent decrees resulting from these.
  • Lead on answering RFIs received by WBD from regulatory authorities in LATAM related to third party investigations or transactions.
  • Devise policy and strategy regarding lobbying for regulatory and legislative initiatives impacting WBD business in LATAM, in collaboration with Govmt Affairs. Communicate with impacted business groups, this includes a wide range of topics including network fees, tax, content quotas, investment obligations, AI.
  • Lead on regulatory filings on non-competition matters and on engagement strategy with authorities. Defend company from inquiries and investigations on these matters.
  • Serve as the WBD representative in the TAP Brazil group, TAP LATAM group and MPA LATAM Policy group; liaise with industry groups across the region to advance policy objectives in coordination with Govmnt Affairs.

Qualifications & Experiences

  • 8+ years of experience in competition law
  • Experience with policy matters, preferably in the media sector
  • Degree in Law and licensed to practice in the country of residence.
  • Fluency in English; Fluency in Portuguese or Spanish.
  • Broad knowledge and experience in Legislative and regulatory processes in LATAM countries
  • Excellent skills in drafting filings
  • High competence in collaborating with many areas of the business.

  • Client Communications - The ability to communicate clearly, diplomatically and effectively.
  • Global Mindset - Knowledge and understanding of global cultures, including similarities and differences. This includes the ability to work across organizational, functional, and geographic boundaries to drive communications, business strategies and multi-geography projects and teams; and adapt to a highly matrixed environment.
