The TJX Companies, Inc. is seeking a Senior Attorney, Securities and Corporate Governance,to join an established practice area within the TJX Legal Department that provides advice on a broad range of securities and corporate governance matters in support of TJX and its global business. This added attorney will assist in all areas of this legal team's practice and provide guidance on an array of matters related to public company counseling, collaborating closely with individuals in multiple departments, including corporate accounting, finance, and investor relations and communications professionals. This position requires good judgment, critical thinking, and the ability to operate at the senior executive level. This is an excellent opportunity to be a member of a sophisticated and collegial legal department supporting complex, global operations. It is a hybrid position based in our Framingham, MA offices.

What You Will Do:
Job responsibilities cover a broad range of disclosure and corporate governance matters at TJX including but not limited to:
- Advising on securities law and other public company regulatory requirements, including stock exchange listing requirements
- Drafting and/or reviewing SEC filings, including the annual report and annual proxy statement, and other corporate disclosures
- Counseling on corporate governance, market practices, and shareholder and proxy advisor considerations, monitoring and analyzing related developments and trends, and supporting stakeholder engagement
- Preparing materials, minutes and generally supporting meetings of the Board of Directors and its committees
- Managing formation and maintenance of company entities globally, responding to related governance matters in various legal and regulatory environments and coordinating with outside counsel
- Collaborating with business and legal partners to maintain a global portfolio of subsidiaries
- Managing or collaborating on corporate finance matters, corporate transactions, and special projects
Who We Are Looking For:
- JD and 4+ years of relevant corporate legal experience, including large law firm experience
- Strong academic credentials
- Admitted to practice law in Massachusetts or eligible for Massachusetts In-House Counsel Registration
- Extensive experience with corporate public company legal work, including:
- SEC filings, including proxy statements, 10-Ks, 8-Ks, Section 16 filings
- Stock exchange notifications and other public company governance requirements
- General corporate work, including drafting resolutions, minutes and delegations
- Experience with other corporate transactions (M&A, equity investments, financings)
- Ability to stay well-informed of emerging legal developments, market trends and practices, and risks related to corporate disclosures and governance
- Exemplary drafting skills and attention to detail
- Excellent communication and presentation skills, both verbal and written, including the ability to present complex topics in a concise and understandable manner
- Ability to connect well and collaborate with a range of partners within legal department and across functions, with strong interpersonal skills
- Highly organized, with proven project management, research, and analytical skills
- Sound business and legal judgment, and ability to identify and implement practical solutions in complex and critical areas
- Highly responsive and motivated to provide practical and proactive support in a fast-paced environment

- This position has a starting salary range of $139,900 to $181,700 per year.
- Actual starting pay is determined by a number of factors, including relevant skills, qualifications, and experience. This position is eligible for an annual incentive as well as long-term incentives.
