The TJX Companies, Inc. is seeking an AVP, Senior Attorney - Compensation & Benefits to join the TJX Legal Department as a senior member of an established legal team that provides advice and counseling on a broad range of compensation and benefits matters in support of TJX and its global total rewards strategies. This attorney will assist in all areas of the legal team's practice, with a particular emphasis on executive compensation matters, proxy disclosure, and supporting the activities of the compensation committee of the Board of Directors, working closely with individuals in a number of departments, including human resources, finance, and communications professionals.

Responsibilities:

Job responsibilities include providing comprehensive advice and support with respect to a variety of executive and broad-based compensation plans and processes at TJX, including:

  • Equity and cash incentive plan documents, award agreements, and communications
  • Employment, consulting, separation, and restrictive covenant agreements
  • Other employee benefit plans and programs, including nonqualified deferred compensation arrangements, severance arrangements, pension and other retirement plans, health and welfare benefits, and other policies and procedures
  • Preparation of annual proxy statement and other disclosure and reporting
  • Matters involving the compensation committee, Board and other oversight committees, including meeting materials, minutes, administrative processes and other governance matters
  • Shareholder engagement activities on compensation and benefits matters
  • Compensation and benefits aspects of international operations and corporate transactions
  • Counseling and strategic advice on technical tax, securities, employment, and other substantive issues, shareholder and proxy advisor considerations, and market practices
  • Monitoring and analysis of related developments and trends

This position requires good judgment, critical thinking, and the ability to operate at the senior executive level, with potential to work directly with executive management, Board members and other key stakeholders. This is an excellent opportunity to be a member of a sophisticated and collegial legal department supporting complex, global operations.

Requirements:

  • JD and 10+ years of relevant legal practice, including large law firm experience; prior in-house public company experience strongly preferred
  • Subject matter expert in executive compensation and employee benefits law with significant related experience in corporate governance, public company disclosure, and employment law matters
  • Significant experience in and broad knowledge of all legal aspects of executive compensation and employee benefits, including:
    • proxy disclosure and other securities law and disclosure requirements applicable to public companies;
    • operation and documentation of compensation-related matters for the compensation committee, Board and other oversight committees;
    • design, implementation, and administration of a range of compensatory plans, policies, and programs, including stock options, performance-based incentives, and other employee benefit plans and arrangements;
    • drafting and interpretation of sophisticated agreements, plans, and award documentation;
    • employment law aspects of benefit plans; and
    • fiduciary, tax, and compliance matters related to compensation and benefits (ERISA, Section 409A of the Internal Revenue Code, and other applicable laws)
  • Strong academic credentials
  • Excellent communication and presentation skills, both verbal and written, including the ability to communicate complex topics in an understandable manner and to connect well and collaborate with individuals at all levels of the company
  • Ability to stay abreast of emerging legal developments, market trends and practices, and risks related to executive compensation and employee benefits
  • Experience with navigating jurisdictional differences in global employment and compensation practices
  • Excellent drafting skills and attention to detail
  • Highly organized, with excellent project management, research, and analytical skills
  • Sound business and legal judgment, and ability to identify and implement practical solutions in complex and critical areas
  • Highly responsive and motivated to provide practical and proactive support in a fast-paced environment

This position has a starting salary range of $155,900-$202,600 per year.

Actual starting pay is determined by a number of factors, including relevant skills, qualifications, and experience. This position is eligible for an annual incentive as well as long-term incentives
