TD Securities' New York based M&A team is seeking a Vice President. TD Securities is a leading global investment bank specializing in providing strategic financial advisory services, including mergers and acquisitions, capital raining, and restructuring. We work with clients across industries to drive transformative deals that continue long-term value.
The successful candidate will play a vital role in all aspects of sourcing and executing M&A transactions and maintaining strategic dialogue with clients in partnership with industry groups throughout the firm. The candidate will be responsible for managing and executing a wide range of complex transactions including acquisitions, divestitures, mergers, joint ventures, recapitalizations, carve-outs, leveraged buyouts, reverse mergers, defenses against unsolicited takeover attempts and other strategic advisory assignments. He or she will also play a critical role in developing junior professionals and collaborate closely with senior leadership to expand the firm's M&A advisory practice.
Key Responsibilities:
- Manage the execution of M&A transactions, including due diligence, valuation and closing processes
- Oversee financial modeling, valuation analyses and strategic deal structuring
- Coordinate with legal, tax and accounting advisors to navigate complex deal structures
- Prepare presentation materials and participate in M&A marketing meetings with key clients
- Interact with senior TD Securities team members and client management teams on a daily basis to execute transactions and discuss strategic alternatives
- Stay up to date on market trends, industry developments and competitive intelligence to provide strategic insights to clients
- Guide and mentor analysts and associates, ensuring high-quality work and professional development
Qualifications:
Candidates must have a strong interest in investment banking underpinned by solid quantitative and analytical skills. He or she should be able to think creatively about a range of strategic issues confronting the firm's clients and have an exceptional grasp on accounting, valuation, finance, and business strategy.
Specific qualifications include:
- Bachelors' degree from a leading university
- 5+ years of experience in investment banking, with a strong focus on M&A
- Expertise in financial modeling, valuation techniques, and transaction execution
- Demonstrated ability to lead deal teams and manage client relationships
- Excellent communication skills, with the ability to present complex financial concepts
- High levels of ethics, integrity and judgment
- Strong intellectual curiosity
- Comfort in and commitment to a teamwork environment
- Highly organized, detail oriented and proactive
The VP Investment Banking TDS provides professional level of expertise as part of a client team and liaises with clients at various levels and helps execute on transactions.
Depth & Scope:
- Develops transaction ideas and discusses appropriate context with senior coverage team members
- Develops revenue in all product areas and executes transactions
- Demonstrates relevant market / industry / product knowledge
- Structures/delivers high impact presentations
- Maintains client relationships and keeps them informed as deals progress
- Keeps more senior M&A and coverage officers informed as deals progress/issues arise
- Liaises and/or interacts with clients at all levels (CFO, Treasurer, Assistant Treasurer, etc.)
- Liaises with clients primarily at CEO and CFO level
- Executes on deals, generating or contributing to increases in revenue levels
- Directs, trains, and develops team members to enable them to meet challenges department objectives and achieve full potential
- Establishes an environment that promotes respect for the individual employee and adheres to the policies and guidelines of the Bank
- Maintains confidentiality of client information
- Accountable for providing expertise and support to senior coverage team members in execution of transactions and deal structure by providing expertise and knowledge of relevant markets/industries/products
- Develops recommendations/ideas for transactions and revenue generation, structures/delivers presentations, and manages deals/transactions as they progress/issues arise (escalating and keeping senior coverage officers informed as required)
- Liaises and maintains client relationships
- Acts as an experienced specialist for an assigned business or portfolio; role requires deep knowledge
Education & Experience:
- Undergraduate degree in Business (Accounting or Finance) or Mathematics/Economics
- Series 7, 79 and 63
- 5-7 Years of related experience
