Job Description:

Department Overview:

TD Bank is seeking a Senior Manager to manage compliance governance documents (e.g., standards and procedures). This role will ensure governance documents remain current, accurate, and aligned with regulatory expectations, internal quality control findings, audit results, and compliance program management standards. The Senior Manager will oversee all required updates to governance documents owned by the Compliance function, serving as the central point of coordination across multiple stakeholders.

This role will manage at least one direct report, with opportunity for team growth as the role expands.

Key Responsibilities:

1. Governance Document Management:

  • Develop a Governance Document Management process that outlines all requirements and responsibilities noted below.
  • Act as the owner for tracking, coordinating, and implementing all required updates to governance documents owned by the Compliance function.
  • Work closely with document owners to ensure updates address regulatory changes, quality assurance (QAQC) feedback, audit findings, and issues management action plans.
  • Develop and maintain a centralized process for managing governance document updates, ensuring alignment with compliance program management standards.
  • Track and report on documents that are within key time periods for making updates, as well as those that have missed update deadlines, escalating any risks or delays.

2. Annual Governance Refresh Process:

  • Own and manage the annual governance refresh process, ensuring that all compliance-related governance documents undergo a comprehensive review.
  • Collaborate with key stakeholders to assess whether updates are needed based on regulatory changes, audit findings, QAQC results, or evolving business needs outside of those addressed during BAU processes.
  • Ensure all governance documents remain accurate, consistent, and aligned with TD Bank's compliance framework.
  • Track and report on the completion of the annual refresh process, escalating any risks or delays.

3. Regulatory & Audit Alignment:

  • Ensure governance documentation reflects the latest regulatory expectations and supervisory feedback.
  • Work closely with the change management function to ensure document/standard owners are aware.
  • Track regulatory changes and ensure governance documents are updated in response to new or evolving requirements.
  • Coordinate with Compliance QAQC, Audit, Risk, and Regulatory Relations teams to confirm that findings have been appropriately integrated and addressed in governance updates.

4. Stakeholder Engagement & Oversight:

  • Drive consistency and clarity in governance documentation across Compliance program areas.
  • Provide regular reporting on governance document status, key updates, and outstanding remediation actions.

5. CODI Database Management:

  • Oversee the Compliance-Owned Documentation Inventory (CODI) database, ensuring it remains the system of record for all governance documents.
  • Maintain version control, documentation history, and tracking of all required updates.
  • Ensure robust governance of the database, including access controls, retention policies, and compliance with record-keeping standards.
  • Ensure that documents are refreshed and that only active documents are accessible in CODI

6. Process Improvement & Standardization:

  • Identify opportunities to enhance governance documentation processes, increasing efficiency and reducing risk.
  • Develop guidance on best practices for governance documentation and regulatory alignment.

7. Program Effectiveness Assessment (PEA):

  • Own the PEA process and coordinate with the Reg. Compliance Management (RCM) Assessment (Risk Assessment) team to update the governance, methodology and overall process of the PEA
  • Collaborate with RCM Standard owners to ensure alignment between processes detailed within the standards and the PE process.

Job Summary:

The Senior Manager, Compliance Governance & Operations leads, develops and oversees a dynamic team of Compliance CGO professionals who conduct support, facilitation and coordination for the management of Compliance. They may also provide specialized project support or services within Compliance.

Depth & Scope:

  • Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required
  • Oversees and leads a highly complex, and diverse function for an area of significant risk, complexity or scope
  • Strategic partner to the leadership team on the management of the assigned portfolio and related financials, with deep industry, external/internal, enterprise knowledge, recognizing and anticipating emerging trends and; identifying operational efficiencies and opportunities with other business management/enterprise areas
  • Facilitates key strategic discussions and provides thought leadership to executive audience (output may include strategic roadmap and/or deliverables/frameworks/short to long term goals, etc.)
  • Sets operational team direction and collaborates with others to execute on common goals
  • Focuses on longer-range planning for functional area

Education & Experience:

  • Undergraduate degree or equivalent work experience
  • 10+ years of experience

Preferred Background & Experience:

  • 12-15 years of experience in Compliance, Risk Management, Audit, or a related governance-focused role.
  • Strong understanding of regulatory compliance frameworks, governance documentation processes, and audit/exam management.
  • Experience managing policy and governance updates in response to regulatory changes, QAQC findings, and internal audit reviews.
  • Strong stakeholder engagement skills with the ability to influence without direct authority.
  • Experience working across Compliance, Audit, Legal, and Risk teams to drive alignment on governance updates.
  • Familiarity with governance document tracking systems (e.g., document management systems, GRC tools, or compliance databases like CODI).
  • Strong analytical skills with the ability to interpret regulatory requirements and apply them to governance documentation.
  • Exceptional attention to detail, organizational skills, and ability to manage multiple projects simultaneously.

Customer Accountabilities:

  • Oversees a function of enterprise Compliance Program professionals providing oversight and control related advisory services to Compliance partners
  • Provides strategic direction on a broad and diverse range of complex Compliance program activities
  • Develops Compliance enterprise-wide frameworks, policies, standards, procedures in coordination with management in line with TD's Compliance Program
  • Works with executive team, senior business management/partners to develop proactive strategies, tactics, policies and programs to effectively manage regulatory/compliance issues
  • Meets with business (Compliance) partners and leaders to determine Compliance strategies and compliance culture
  • Takes corrective action and recommends or implements changes to procedures, as required
  • Lead role in managing and in responding to periodic exams/audits and various regulatory bodies related to CGO accountabilities
  • Participates in/leads enterprise-wide or Compliance focused special projects
  • Oversees research, development and implementation of new processes, technologies or operating models
  • Works autonomously as the leader of the team and assists with development of group policies and approval of procedures in coordination with leadership team and colleagues; and promotes and monitors staff adherence to approved internal Compliance policies, procedures, standards and guidelines, in addition to those federally mandated
  • Primary escalation point for significant matters/exceptions

Shareholder Accountabilities:

  • Leads the team to adhere to enterprise frameworks and methodologies related to overall business management activities
  • Protects the interests of the organization - identifies and manages risks, and promotes the prompt and thorough resolution of escalated non-standard, high risk issues
  • Works closely with executive management team to support the development of CGO group's business plan, ensuring the optimal use of resources and leverage TD's operating model to maximize efficiency, effectiveness and scale

  • Provides inputs into the development, implementation, and monitoring of operating plans and expense budgets for the area, consistent with TD Bank strategies and objectives
