Job Description:

The Director and Managing Counsel is responsible for assisting the General Counsel as directed. We are seeking a strong leader who is motivated to apply their legal expertise in leading a team of Cybersecurity and Privacy lawyers and paraprofessionals. The ideal candidate will play a crucial role, along with internal Fusion Centre colleagues, in ensuring that TD's cybersecurity practices meet legal and regulatory standards. The individual must be comfortable with a fast-paced environment and be capable of making informed decisions in potentially complex situations.

Depth & Scope:

  • Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required.
  • Advises Business Lines concerning legal matters.
  • Coordinates outside counsel
  • Assists in protecting legal interests of the bank and maintaining its operations within the scope established by law.
  • Provides legal counsel to all levels of executive staff.
  • Identifies and analyzes legal issues, drafts key documents, presents clear recommendations, and enhances legal compliance.
  • Provides ongoing advice to senior executives and other business lines regarding general legal and contract specific issues and risks.
  • Participates in structuring, negotiating, and drafting of complex business transactions (complex, high-dollar value transactions)
  • Consults on pre-litigation legal disputes and inquiries.
  • Monitors and directs litigation.
  • Advises on legal implications of enterprise issues.
  • Manages and mentors Staff Attorneys and Paralegal Assistants

Education & Experience:

  • Bachelor's and Juris Doctor degrees from an accredited law school required.
  • 15+ years' experience as an attorney
  • Admitted in good standing to a state bar.
  • Licensed to practice law.
  • Broad transactional background and excellent negotiation and drafting skills; legal research and writing skills.
  • Experience advising senior management on legal, risk, and strategic issues.
  • Ability to problem solve, multitask, and work effectively against deadlines.
  • Proven success of high-volume matters in fast-paced environment
  • Report/communicate effectively to General Counsel
  • Experience in Banking (Retail and Commercial): Insurance Brokerage; Broker/Dealer expected.
  • Proven expert knowledge of Regulatory Compliance
  • High personal qualities of Integrity, high motivation, carefulness; exceptional skills in judgment
