This role is based in Hamilton, Bermuda.
Pramerica Services Company (Bermuda), Ltd. is looking to fill a newly created Corporate Secretary role. This will report to the VP, Operating Officer.
The Corporate Secretary will provide corporate administrative services for currently 6 companies, a mixture of captives, reinsurers (all class E), a holding company and a service company. Act as Company Secretary providing corporate administration services, arranging/attending board meetings, producing detailed, quality minutes and Board packs, statutory and regulatory compliance and filings, giving governance and best practice advice. Liaise with all stakeholders as required. Ensure compliance of clients with relevant local and international laws and regulations, including AML/ATF and economic substance.

Responsibilities:
- Lead the preparation of Board meetings, taking ownership of agenda formulation, comprehensive document compilation, and recording of minutes, ensuring a seamless and efficient process.
- Oversee the production and filing of regulatory documents, ensuring rigorous compliance with all applicable regulations and setting a benchmark for organizational governance.
- Proactively support Compliance Officers, driving initiatives on compliance-related topics and fostering a culture of adherence and integrity within the organization.
- Champion the integration of best practices and governance frameworks, continuously enhancing the organization's strategic and operational effectiveness.
- Act as a primary liaison with directors, local regulatory bodies, attorneys, auditors, and internal colleagues, ensuring robust communication and collaboration that supports organizational goals.
- Oversee service level agreements, manage and facilitate communication between third party outsourced providers, HR service providers and group companies, ensuring smooth information flow, excellence and strategic alignment.
Required Qualifications:
- 7+ years of experience in the company secretary field. Experience in start-up environments a plus.
- Excellent working knowledge of Bermuda corporate legislation and company secretarial practices.
- Proven experience running board meetings at a senior level, preparing board packs and taking minutes, including manage Boardvantage.
- ICSA designation or Bachelor degree in related field (e.g. law), or longstanding paralegal experience.
- Familiarity with HR best practice would be advantageous.
- Insurance and/or financial services knowledge desired. • Strong written and verbal communication skills.
