Morgan Stanley & Co. LLC seeks a Vice President, Banking in New York, NY
Work as an advisor to asset management firms on mergers & acquisitions, initial public offerings, and debt & equity capital raises. Analyze market data and information to support execution of transactions, and prepare bespoke thought pieces on industry trends. Function as a staffer, keeping track of individual staffing and capacity limits, and projects across the broader asset management working team.
Salary: Expected base pay rates for the role will be between $275,000 and $275,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs

Requirements:
Requires a Master's degree in Business Administration, Finance, or a related field of study and three (3) years of experience in the position offered or three (3) years as an Associate, or a closely related occupation. Requires three (3) years of experience with: Initial Public Offerings (IPOs), options, warrants, debt, and structured products; asset management industry concepts across traditional, private equity, private credit, infrastructure, real estate, and secondaries managers; accounting principles including U.S. GAAP and IFRS; cross-border transactions; producing bespoke research pieces on industry trends; extracting relevant information from financial statements; building detailed financial models in Microsoft Excel with operating drivers across all financial statements; transaction structures including acquisition and sale of equity vs. assets, Merger of Equals (MoE), Joint Ventures (JVs), and Leveraged Buyouts (LBOs); building models to assess and quantify strategic financing and M&A options; valuation analyses including discounted cash flows, transaction and trading multiples, discounted equity value, accretion and dilution analysis, Return on Invested Capital (ROIC), Internal Rate of Return (IRR), and Ability to Pay; due diligence lists, drafting offering memorandums for the SEC, and confidential information memorandums (CIMs); negotiating legal documentation including merger agreements, non- disclosure agreements, indemnity agreements, and engagement letters; Bloomberg, SQL, Microsoft Access, CapitalIQ, Eikon, FactSet, BAMSEC, and Pitchbook.
