Department Profile
Professionals within Legal and Compliance provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the firm's invaluable reputation for integrity and protect the firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the firm's businesses.

The Global Operations Department provides necessary operational support to all business lines, with processes that including trade clearing and settlement, securities custody and segregation, cash clearing and management, statements and confirmations.

Background on the Team
The Global Operations Legal Coverage function within Technology and Data Legal advises the Morgan Stanley Global Operations Department on relevant legal and regulatory standards.
Attorneys in the team research, interpret, analyze and apply financial services law rules and regulations within their regions to counsel leaders in Operations in areas such as customer asset protection, securities settlements, treasury operations, asset services and margin operations. Team members further advise on international matters such as payments or global financial market infrastructure and state legal regimes such as unclaimed property.
The team also engages in some transactional support of the Operations Department, such as drafting and negotiating documentation related to sub-custody and/or cash account services provided to Morgan Stanley and its subsidiaries.

Primary Responsibilities
The attorney will advise Operations department stakeholders, including management and governance committees, regarding relevant regulatory standards, contract interpretation, and other legal matters. The attorney will focus on the United States, flexing within the Americas as needed, and will collaborate with teammates in EMEA and APAC.

The attorney will collaborate with compliance partners and advise them on nuanced matters of interpretation. The attorney will develop expertise and ownership in multiple areas, such rule-sets or business lines. The attorney will engage in some transactional work such as contract negotiation, drafting, and review. A successful candidate would have:
Familiarity with US broker-dealer regulation or another US regulatory regime governing an aspect of Morgan Stanley operations and a strong interest in developing further expertise.
Ability to communicate clearly and concisely to an executive audience
An entrepreneurial attitude to developing internal client relationships and becoming a trusted legal advisor
Consistent curiosity about how things work and ability to learn through each of: engagement with real-time questions; expert advice; informal training, collaboration and self-study
A functional understanding of corporate law, structure, governance and risk management
Initiative to take ownership and leadership roles in collaborative settings and drive projects to conclusion
Ability to incorporate firm values into advice and guidance: Do the Right Thing, Put Clients First, Lead with Exceptional Ideas, Commit to Diversity and Inclusion and Give Back
Strong writing, drafting and research skills
Some experience drafting and negotiating financial services or other contracts preferred
Understanding of or experience with the UCC including secured transactions is a plus.

Qualifications
attorney holding applicable state license and/or other state license and in-house counsel registration as appropriate
5-7 years of total legal experience, greater experience is welcome, less experience will be considered on a case-by-case basis when paired with equivalent amounts of financial industry experience in other roles
- 2+ years of relevant in-house legal experience, preferably at a large, regulated financial institution. Regulatory experience considered in alternate.

Salary range for the position: $112,000.00-$177,000.00 Yr. The successful candidate may be eligible for an annual discretionary incentive compensation award. The successful candidate may be eligible to participate in the relevant business unit's incentive compensation plan, which also may include a discretionary bonus component. Expected base pay rates for the role will be between $110,000.00 and $190,000.00 per [year] at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
