Meta is seeking a Director and Associate General Counsel to join the Legal department's Corporate Governance team. The successful candidate is expected to operate independently in a fast-paced environment and work proactively with various teams across the organization, including executive operations, human resources, and finance.

Director & Associate General Counsel, Governance Responsibilities:

  • Advise on governance best practices for public company's independent board of directors and executive management, including relevant aspects of Delaware Law and listing standards.
  • Provide input and direction on materials provided to the board of directors and ensure proper maintenance of books and records.
  • Work closely with cross-functional partners on board compliance and development initiatives.
  • Direct efforts to maintain corporate formalities in accordance with best practices.
  • Develop, enhance and maintain board policies and practices.
  • Collaborate with cross-functional partners on board and executive compensation matters.
Minimum Qualifications:

  • J.D. degree.
  • 12+ years of relevant legal experience.
  • Membership in at least one state bar.
  • Experience in interpretation and application of Delaware law.
  • In-house Corporate legal and Governance support of Fortune 500 public company board of directors.
  • Experience leveraging organizational skills and strategic thinking, and experience working with cross-functional teams.
  • Experience related to legal issues pertaining to executive compensation and related disclosure.
  • Experience working with other subject matter experts in all facets of governance including talent management and HR.
  • Superior communication skills with attention to detail.
Preferred Qualifications:
  • Prior experience with a Fortune 100 company.
  • Prior experience with AmLaw 100 law firm.
  • Deep expertise in interpretation and application of Delaware law.
  • Extensive work related to legal issues pertaining to executive compensation and related disclosure. Regular interactions with C-suite.
  • 5+ years in-house experience working with independent public company boards.
  • Demonstrated record of increasing responsibility and interaction with executive management.

$274,000/year to $352,000/year + bonus + equity + benefits

Compensation details listed in this posting reflect the base hourly rate, monthly rate, or annual salary only, and do not include bonus, equity or sales incentives, if applicable.
