Liberty Mutual's Global Legal & Compliance Department is seeking a Corporate Attorney to join its Enterprise Legal team. As Corporate Counsel, Strategic Transactions & Governance you will provide strategic legal advice to Liberty's executives and execute on meaningful corporate transactions which have an impact upon the rights, privileges and responsibilities of the Company while maintaining high standards of legal and business ethics and professional responsibility.
The role of Corporate Counsel, Strategic Transactions & Governance will advise and lead a broad range of securities, debt, capital markets, and M&A transactions matters in support of Liberty Mutual and its global business. This position will assist in all areas of the Strategic Transactions & Governance legal team's practice and provide guidance on an array of matters related to securities and corporate counseling, collaborating closely with individuals in multiple disciplines, including Corporate Finance, M&A, Investor Relations, Accounting, Global Sustainability and more. This position requires excellent judgment, critical thinking, complex matter management, and executive client management skills. This is a great opportunity to join a sophisticated and collegial legal department supporting complex, global operations. It is a hybrid position based in our headquarters in Boston, MA or Portsmouth, NH.
Responsibilities:
- Negotiating transactions and drafting a wide range of transactional documents, managing deal process and client relationships, and handling day-to-day demands and workflow requirements on a variety of corporate related matters
- Act as the strategic legal advisor on large strategic transactions including M&A, capital markets, and bespoke debt offerings
- Advise and review securities filings, ESG disclosures and compliance with relevant standards and frameworks (e.g., TCFD, GRI)
- Work cross-functionally across the business with the business, deal team, legal team, and executive leadership team
- Recommend practical courses of action to achieve client goals within the scope of what is legally permissible
- Assign, direct and review the work of legal professionals
- Maintain current knowledge of legal issues and developments in the law
- Juris Doctor degree (JD) and 5+ years, preferably within the corporate department of a nationally or internationally recognized law firm
- In-house and/or financial services experience a plus
- Experience working independently or acting as the lead when negotiating complex transactions
- Superior negotiation, communication, and drafting abilities
