Job Summary

The Head of The Office of the Secretary (OTS) within our Firm's Legal function in Ireland, you will play a pivotal role in liaising with senior management, control groups, business divisions, and corporate units to ensure robust governance. Your primary duty will be to supervise our Irish operations and act as a strategic business ally to senior stakeholders within EMEA, the Ireland Senior Country Officer, and other top-tier executives. Additionally, you will be responsible for providing counsel on corporate governance and company secretarial matters pertaining to Irish legal entities and branches, and spearheading crucial communications with board directors. This position provides a unique opportunity to shape our firm's governance and significantly impact our operations in Ireland.

Job Responsibilities:

  • Lead the OTS team in Ireland and oversee and deliver corporate governance and company secretarial services to the Firm's Corporate & Investment Bank (CIB) subsidiaries and branches that operate in Ireland.
  • Work closely with the Head of OTS EMEA and other members of OTS EMEA and global leadership in delivering the strategic and operational objectives of OTS; and
  • Manage a team of company secretaries and governance professionals within OTS in Ireland and EMEA including the provision of proactive advice to Irish boards and senior management (within and outside of Ireland) on corporate governance matters that relate to legal entities that operate within the Irish business;
  • Oversee and deliver day-to-day corporate governance and company secretarial services in respect of Irish legal entities and branches, including board/board committee governance and legal entity management;
  • Oversee and deliver projects that impact OTS, including legal entity rationalisation and reorganisations;

Required qualifications, capabilities, and skills

  • Strong degree-level academic background;
  • Qualified Company Secretary, Corporate Governance Professional or Corporate Solicitor with at least ten years of relevant experience.
  • Track record of leadership on corporate governance and company secretarial matters within a high-profile environment, including extensive interaction with non-executive directors;
  • Track record of delivering change and driving corporate governance best practice within a regulated environment;
  • Detailed understanding of corporate governance matters impacted by changing law and regulations in the financial services industry;
  • Track record of handling interactions with or responding to corporate and board governance related requests from the Central Bank of Ireland (or similar EU or UK financial services regulators);
  • Strong team management skills, with a depth of experience in coaching and developing individuals; and
  • Experience gained working in other regulated organisations.
  • Strong written and verbal skills, and an effective communicator with maturity to deal effectively at all levels of the organisation;
  • Excellent report drafting and minute taking skills;
