The Associate Corporate Counsel is responsible for supporting the negotiation of contracts and administration of contracts for Abiomed's operations. This position will report to the Senior Corporate Counsel. The ideal candidate has experience in contracts administration and with various types of contracts. As a valued partner to the business, the corporate counsel requires effective communication skills with both internal and external clientele.

Key responsibilities:

  • Analyze and negotiate various types of domestic and international contracts such as: clinical trials; research; consulting; research services; product; HCP; general vendor, non-disclosure and other pertinent agreements as well helping to develop and update templates for such agreements to reflect the current laws, industry codes and company policies.
  • Identifying and analyzing pertinent legal, compliance, regulatory and business issues in order to help align contractual terms with business objectives.
  • Responsible for negotiating Asia Pacific clinical contract agreements.
  • Coordinate with legal counsel and professional staff on a world-wide basis to ensure that agreements are negotiated in compliance with company policies and procedures as well as applicable law.
  • Provide efficient and coordinated legal support, contribute to cross-functional teams and collaborate with stakeholders and colleagues in the global legal department on key matters.
  • Support the long-term development of the legal function through process improvement and establishment of best practices for all aspects of legal functions.
  • Work closely under supervision of a responsible attorney and exercise independent judgement in escalating issues in accordance with procedures and policies.
  • Conduct legal research for the global legal department and all other related legal duties assigned.


Qualifications

Requirements:

  • 6-8 years of professional work experience.
  • A law degree and an active Bar License.
  • 3+ years' experience in contract negotiation and/or administration.
  • Admission to and current good standing with the bar of at least one state or the District of Columbia.
  • Substantive experience with Asia Pacific contracts required.
  • Organization and prioritization skills to effectively manage timelines and multiple projects.
  • Strong transactional skills with attention to detail.
  • Excellent interpersonal and communication skills.
  • Highly collaborative and adaptive in a fast-paced, team-based, matrix environment.
  • Strong Microsoft Office Suite (Word, Excel) as well as Westlaw.
  • Experience drafting agreements preferred.
  • Familiarity with a Contract Lifecycle Management system preferred.

The anticipated base pay range for this position is $100,000-$172,500. The Company maintains highly competitive, performance-based compensation programs. Under current guidelines, this position is eligible for an annual performance bonus in accordance with the terms of the applicable plan. The annual performance bonus is a cash bonus intended to provide an incentive to achieve annual targeted results by rewarding for individual and the corporation's performance over a calendar/performance year. Bonuses are awarded at the Company's discretion on an individual basis.

o Vacation - up to 120 hours per calendar year

o Sick time - up to 40 hours per calendar year; for employees who reside in the State of Washington - up to 56 hours per calendar year

o Holiday pay, including Floating Holidays - up to 13 days per calendar year

o Work, Personal and Family Time - up to 40 hours per calendar year
