Job Description

Primary Function of Position:

The US Contract Administration Manager leads Intuitive's commercial contracting in the United States, overseeing a team of Contract Negotiators.

The Manager supervises contract-related tasks, including drafting and negotiating, to ensure legal compliance and risk mitigation. They also maintain department culture and mentor team members.

Responsibilities:

  1. US Team Management. - Manage Intuitive's US contracts team, overseeing Contract Negotiator reports. Assist in negotiations, review legal issues, and strategize with sales managers.- Manage Intuitive Surgical's contract databases, ensuring maintenance and organization. Periodically review and clean up folders and templates as needed.
  2. Personnel and Training.Develop and supervise US Contract Negotiator training for best contract management practices in the department. Conduct annual performance and compensation reviews for negotiators. Manage feedback and performance issues, involving HR and leadership when needed.
  3. Contract Oversight, Drafting, and NegotiationSupervise preparation and negotiation of many complex contracts, including commercial deals for Intuitive's products. Also supervise digital, data, and privacy agreements, plus HIPAA required Business Associate Agreements.
  4. Legal Investigation and ApprovalExamine and guide legal matters in medical device industry, including contracts, regulations, risk assessment, and revenue recognition. Serve as professional for legal issues and projects in department.
  5. Legal ResearchStay informed about medical device industry regulations and offer guidance based on best practices, including HIPAA compliance.
  6. Compliance and Ethics- Follow ethical standards in all activities- Ensure compliance with laws and company policies during contract negotiations and daily tasks.

Qualifications

Required Knowledge, Skills, and Experience:

  • Law degree (JD) from an accredited law school or equivalent legal experience preferred.
  • Willingness to supervise and manage team of attorney-negotiator direct reports.
  • Proficient in legal terms and implications. Can teach commercial contracting terms, HIPAA, data security, and privacy regulations.
  • Exceptional contract oversight, drafting, and negotiation skills with a keen attention to detail, preferably commercial terms and conditions.
  • Interest in business transactions, finance, and actions. Ready to work with energetic salesforce.
  • - Detail oriented, organized, and able. Can function well under stress.- Excellent problem-solving skills for complex legal issues. Can handle high-pressure situations effectively.
  • Great communication skills, both verbal and written. Manage conversations and collaborate effectively. Work well with teams and stakeholders.
  • Proactive problem-solver, self-motivated with a exceptional work ethic, commitment to excellence, and ability to work autonomously.
  • Able to prioritize and manage personnel, multiple projects simultaneously without missing deadlines across multiple time zones.
