The Opportunity:
We are seeking an experienced and dynamic Senior Corporate Counsel to join our legal team at a fast-paced SaaS company. In this key role, you will work closely with cross-functional teams to support the review, negotiation, and execution of business agreements, helping the company scale effectively while managing risk. Essential Functions/Duties:
- Contracting & Negotiation: Draft, review, and negotiate a variety of contracts, including SaaS licensing agreements, data use agreements, customer and vendor contracts, non-disclosure agreements (NDAs), and partner agreements. Collaborate with internal stakeholders to ensure business objectives are met while mitigating legal risks.
- Legal Advisory: Provide strategic legal counsel on a wide range of corporate and commercial matters, identifying and addressing potential risks and ensuring compliance with applicable laws and regulations.
- Process Improvement: Lead initiatives to streamline and scale the contracting process across the company. Assist in the development, implementation, and continuous improvement of contract templates, policies, procedures, and business systems to support operational efficiency and growth.
- Cross-Functional Collaboration: Partner closely with sales, procurement, finance, and other business teams to support the contracting needs of the organization and ensure alignment on legal, regulatory, and compliance matters.
Minimum Qualifications:
- Juris Doctor (JD) degree from an accredited law school
- 8+ years of relevant legal experience, with a focus on commercial contracts, ideally in the SaaS or technology sector
- Min Years of Rel Exp w/Degree: 8
Minimum Degree Requirement:
- Juris Doctor
Preferred Qualifications:
- In-house experience with a commercial SaaS or technology products company
- Experience with contract lifecycle management tools such as Salesforce, CPQ, Conga, and LinkSquares
- Knowledge of government contracting and regulatory compliance
- Familiarity with international legal issues and working with cross-border teams

- Work Environment: This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, printers.
- Physical Demands: This is largely a sedentary role. Physical requirements include occasional lifting/carrying of 5 pounds; visual acuity, speech and hearing; hand and eye coordination and manual dexterity necessary to operate a computer keyboard and basic office equipment. Subject to sitting, standing, reaching, walking, twisting, and kneeling to perform the essential functions. Working conditions are primarily inside an office environment.
- Compensation range is base salary of $138,000-$230,000. The salary range information provided, reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary based on location. Individual salary will be commensurate with skills, experience, certifications or licenses and other relevant factors. In addition, this role will be eligible to participate in either the annual performance bonus or commission program, determined by the nature of the position.
