1. Role Summary

We are seeking an experienced Legal Counsel with extensive knowledge of managing legal entity structures in Vietnam/INDOCHINA and the ASEAN region. Experience in other parts of Asia Pacific would be useful. The role is part of a global Legal Entity Governance team.

Key responsibilities include ownership of legal entity governance and digital solutions aimed at improving efficiency, quality, and productivity.

• Oversee the logistics of board and committee meetings, attend and record minutes; facilitate board communications.
• Collaborate with other departments and teams to ensure seamless integration and execution of responsibilities.
• Advise Legal Entity boards on their roles and responsibilities; facilitate the orientation of new Directors.
• Ensure proper corporate disclosure and compliance with jurisdictional corporation laws and enable proper reporting and compliance.
• Work closely with Business Counsels/Governance teams to provide legal support during corporate crises and implement Legal Governance projects across all GE Vernova Business units.
• Manage subsidiary structures and governance.
• Monitor corporate governance developments and assist in tailoring governance practices to meet the needs of each legal entity/business.
• Maintain key corporate documents and record them in centralized document storage.
• Maintain regional legal entity data in Entity Ops/ONIT/Box etc., and other information databases on legal entities across GE Vernova.

• Bachelor's Degree (Law)
• Qualified Vietnamese Attorney
• Minimum 8 years of post-qualification experience in commercial law/legal entity corporate governance experience as a legal counsel in ASEAN jurisdictions
• Must be fluent in both spoken and written Vietnamese and English
• Additional certifications in corporate governance or international law are advantageous.

• Experience in corporate and commercial law, legal entity governance, legal billing solutions, legal form management, and other services related to providing legal functions to a large corporation.
• Demonstrated ability to collaborate with cross-functional teams, with a strong capacity to work within a global team environment.
• Demonstrated experience in performing Legal Research, analyzing, and recommending solutions, with practical advice on issues of legal entity governance.
• Excellent legal report writing skills.
• Strong understanding of technology platforms used by Legal Governance and the ability to leverage generative AI tools for efficient legal research and compliance updates.
• Strong oral and written communication skills.
• Highlight adaptability and cultural competence, essential for roles involving multiple jurisdictions.
• Proficiency in Microsoft Suite (Excel, PowerPoint, and Word) and Smartsheet.
• Strong ability to interview GE Vernova internal customers of Legal Governance to assess needs.
• Experience working on legal technology projects and legal operations.
• Good business sense.
