Work Arrangement

This role is categorized as hybrid. This means the successful candidate is expected to report to Global Technical Center in Warren, Michigan three times per week, at minimum.

This job may be eligible for relocation benefits.

The Role

This role presents a rare opportunity to join a high-performing, collaborative team within the GM Legal Staff to work on cutting-edge governance and disclosure matters for a client base that covers a wide cross-section of GM's senior leaders. The team you'll be joining is a key strategic partner for several critical business functions, including Treasury, Controllership, Corporate Development, Investor Relations, Communications, and Executive Compensation - and it also directly supports GM's Board of Directors, including Chair and CEO Mary Barra.

In this role as Counsel, Governance and ESG, you will play a critical role in developing GM's public disclosures to ensure they align to GM's strategic business goals and are compliant with new and existing laws and regulations. We are looking for a practical, curious, and strategic-thinking attorney, who can work independently and develop and drive collaborative processes, to join our awesome team.

What You'll Do - Responsibilities

This counsel's portfolio will consist of three primary components:

  • Governance and ESG Disclosure:

    • Primary legal support for GM's annual proxy statement and other ESG-related topics in GM's securities filings (e.g., climate, human capital, DEI, etc.).
    • Primary legal support for key ESG/ sustainability disclosures and the related processes and policies to ensure compliance with new and emerging regulations in the U.S. and around the globe.
  • Governance and Support of the Board of Directors:

    • Key member of the Office of the Corporate Secretary and help prepare materials that support the GM Board of Directors and its Committees on a variety of matters.
    • Support the design, preparation, and execution of the Company's annual meeting of shareholders.
    • Provide support to the Directors, Corporate Governance and Board Operations on shareholder engagement matters.
  • General Securities Support :

    • Provide general support to the Lead Counsel, Securities, and his team on general securities matters, which may include:

      • Periodic and current SEC reporting (10-Ks, 10-Qs, 8-Ks, registration statements, etc.).
      • Securities offerings.
      • Beneficial ownership reporting (Section 13 and 16 matters),
      • Advising on the securities/ disclosure aspects of strategic/ M&A transactions and advising on general corporate matters.

Additional Description

Your Skills & Abilities (Required Qualifications)

  • Law degree from an accredited college or university.
  • Admitted to practice in at least one jurisdiction in the United States and Michigan, if not admitted in Michigan, the ability to qualify for in-house counsel status in Michigan.
  • 5-10 years of experience with advising public companies on securities, governance, and ESG/ sustainability matters (i.e., SEC disclosure, sustainability reporting, corporate governance);
  • Mix of large law firm and prior-in-house experience strongly preferred.
  • Knowledge of corporate sustainability, corporate responsibility, and/or sustainability/ ESG reporting regimes and best practices.
  • Self-directed, solution-focused individual with a strong work ethic and the ability to collaborate cross-functionally to achieve enterprise-wide results.
  • Ability to respectfully speak up, exchange feedback, and boldly share ideas without fear.
  • Strong oral and written communicator with an aptitude for critical thinking and succinctly presenting the best course of action.

What Will Give You a Competitive Edge (Preferred Qualifications)

  • Ideal candidate understands domestic and foreign regulatory regimes, experience with the various sustainability reporting frameworks and standards (e.g., CSRD, TCFD, etc.), and knowledge of emerging SEC disclosure priorities.
  • Knowledge and understanding of automotive industry environment and/or heavy industrial companies.

A company vehicle will be provided for this role with successful completion of a Motor Vehicle Report review.
