The Executive Counsel - Pension Investments is an integral role within GE Aerospace, acting as a senior legal advisor and a close collaborator with the Chief Investment Officer. This position involves overseeing a wide range of legal activities, including but not limited to, providing legal guidance to the business teams on commercial matters, managing litigation risks, ensuring compliance with laws and regulations, and participating in the development and implementation of corporate policies. In addition to the foregoing, the position also requires acting as General Counsel and Chief Compliance Officer to an in-house SEC investment adviser, GE Investment Management Corp. ("GEIM"). The individual in this role supports the GEIM President and Chief Investment Officer with respect to the organization's investments and leads all aspects of regulatory compliance.

Roles and Responsibilities

  • Lead investment fiduciary responsibilities for GE Aerospace's defined benefit and defined contribution plans.
  • Maintain GEIM corporate books and minute GEIM and GE Aerospace investment fiduciary body meetings.
  • Update charters, investment policy statements and other relevant governance documents as needed.
  • Act as General Counsel and Chief Compliance for GEIM and oversee all applicable SEC regulatory and compliance matters.
  • Work with the GEIM investment team and outside counsel in reviewing and ensuring appropriate documentation related to private and public investments, including investment management agreements and limited partnership agreements.
  • Oversee all GEIM SEC filings (e.g., Form ADV, Form 13F, Form 13G).
  • Work with GE Aerospace and outside counsel on investment related litigation.
  • Support the GEIM Chief Investment Officer in directing and managing the organization's legal affairs.
  • Provide expert legal advice and guidance to senior management and other departments on a wide range of legal matters.
  • Oversee investment related litigation and disputes involving the organization, including developing legal strategies and coordinating with GE Aerospace litigation team and external counsel.
  • Develop, implement, and enforce policies and procedures to ensure the organization's compliance with applicable laws, regulations, and ethical standards. Recommends changes to policies and practices to comply with new legal requirements.
  • Participate in training and provides lead work direction to other legal/compliance staff.
  • Handle confidential matters as they arise with appropriate discretion.
  • Perform other related duties as required.

Required Qualifications

  • Juris Doctorate (JD) degree from an accredited university or college required.
  • Must be in compliance with all relevant licensing requirements, including the requirements of the jurisdiction where the role will be located, prior to commencement of employment.
  • Ability to work well under challenging demands and handle numerous responsibilities simultaneously with diligence while providing practical, business-driven advice.
  • Strong legal analysis abilities
  • A minimum of 10 years of in-house legal practice in an investment organization.

Desired Characteristics:

  • Contract review experience.
  • Ability to communicate effectively and diplomatically with internal and external attorneys and senior leadership.
  • Strong interpersonal skills and the ability to build working relationships with senior leadership and across departments.
  • Strong leadership skills with a high level of maturity and the ability to gain the confidence and respect of firm leadership, attorneys, business professionals, and clients.
