Overview

This is a hybrid role, with the expectation that time working will regularly take place inside and outside of a company office. 3 days a week in the Raleigh office.

First Citizens is seeking an exceptional attorney to join its Legal department as Counsel, with a focus on regulatory matters including regulatory exams, inquiries, and responses to supervisory feedback, with other governance and corporate secretary duties. Your role will contribute to ensuring effective oversight and governance in line with regulatory expectations of a large bank. You will be part of the team that advises and coordinates with relevant stakeholders and responsible cross functional groups in support of Management, the Board, and its Directors in their oversight of regulatory matters.

The primary focus of your role as Counsel will be to provide legal advice and guidance on federal regulatory matters relating to governance and risk management expectations of a large financial institution across three lines of defense. You will work with cross functional groups and coordinate and collaborate with business and support teammates to provide support on regulatory responses alongside compliance, risk, strategy, and operations partners including Regulatory Relations, Regulatory Strategy, and Regulatory Affairs.

This is a dynamic role requiring subject matter expertise, adaptability in a changing environment, and strong communication skills. The right candidate will bring a curiosity and enthusiasm to working on matters across various disciplines.

Responsibilities

  • Advisory support and coverage for Regulatory Relations, Regulatory Affairs, Risk Management (1st and 2nd Line), Regulatory Strategy, and other cross functional groups related to prudential regulatory matters.
  • Regulatory Matters - Provides substantive advice on regulatory matters including related requests, inquiries, and supervisory feedback. Advise and assist with drafting of regulatory responses to help ensure clarity and responsiveness. Performs research and analysis on relevant issues.
  • Board Support - Works directly with the Board of Directors and Board committees as well as the Corporate Secretary, Senior Assistant Chief Legal Counsel, and Board Governance team in advising and managing board governance.
  • Coordinating legal support with risk, compliance, and business partners to implement practical, risk-calibrated solutions that support growth of the business.
  • Supporting process improvements and organizational change to help build the operational infrastructure and response framework.
  • Supervising outside counsel and effectively managing legal costs.
  • Contributing to internal initiatives focused on a commitment to a best-in-class Legal department.
Qualifications

Juris Doctor degree and (6) years legal experience in a law firm, financial institution legal department, or at a prudential regulator performing regulatory legal work
  • Eagerness to learn, grow, and work on different legal matters/topics including those outside primary areas of expertise;
  • Experience working in support of high-level, strategic leaders;
  • Strong attention to detail;
  • Strong oral and written communication skills with the ability to influence decision making;
  • Strong understanding of regulatory activities common to large financial institutions;
  • Strong academic credentials;
  • Active and in good standing membership to at least one state bar.

  • Problem solving and collaboration skills working with others in a team-first environment.
  • Strong Microsoft Office capabilities and ability to implement and learn new software applications.
