Eaton's legal organization is hiring a Counsel, Corporate Transactions to be based at the US HQ in Beachwood, Ohio.

What you'll do:

PRIMARY FUNCTION:

Provides legal advice and services, and training, in support of Eaton's real estate transactions as well as acquisition, divestiture and joint venture, including due diligence, contract drafting and negotiations, transaction closings and integration activities. Manages outside counsel and outside counsel spend.

ESSENTIAL FUNCTIONS:

  • Real Estate Transactions: Provides legal advice on closures, sales, acquisitions, construction, leases, financing, and disputes.
  • Corporate Development: Advises on acquisitions, divestitures, joint ventures, and equity investments globally.
  • Due Diligence: Conducts investigations on title, zoning, land use, and business operations.
  • Training & Guidance: Offers training on real estate and M&A topics.
  • Transaction Structuring: Supports structuring of transactions and serves as project manager.
  • Outside Counsel: Manages and supervises outside counsel, monitoring expenses.
  • Contract Drafting: Drafts contracts, supports negotiations, closings, and integration activities.
  • Standardized Processes: Develops processes for transactions and post-transaction requirements.

Qualifications:

SPECIALIZED KNOWLEDGE:

The successful candidate must have a JD degree and the requisite license(s) to practice law in this role. Minimum of 7 years of related experience with real estate (commercial and industrial), dispute management and associated matters, M&A, other corporate transactions (including joint ventures, equity investing, cash management, tax strategy, transfer pricing).

The successful candidate must be able to work effectively in a fast-paced and changing environment. The successful candidate will be an effective communicator, negotiator and problem solver who is proactive, thinks and acts strategically, drives for world-class results, embraces accountability and demonstrates managerial courage, strong interpersonal skills and professional presence. At times, long hours will be required, and the successful candidate must be available for travel estimated at 5 % annually, which may include international travel.

The expected annual salary range for this role is $158249.97 - $232099.96 a year. This role is also eligible for a variable incentive program.
