The expected annual salary range for this role is $91500.03 - $137500.04 a year.

Position Overview:
The position will have the primary responsibility for managing Eaton's North American subsidiaries, support various internal corporate transactional work, and assist with corporate compliance matters. This position will be an integral part of Eaton's global entity management and governance team.

• Responsible for the management of Eaton's North American subsidiaries: creating and maintaining corporate records; drafting minutes/actions for routine and non-routine corporate events; managing compliance requirements; monitoring applicable deadlines and calendars; preparing, processing and maintaining filings (such as entity formations, foreign qualifications, annual filings, and assumed name registrations); supporting intercompany transactions; and other related tasks to facilitate proper governance of entities.
• Assist with management of Eaton's global subsidiaries and associated entities by working with the global Eaton legal team.
• Draft, review, and submit filings with the U.S. state secretary offices.
• Maintain file management systems for entity governance.
• Participate and assist in internal entity reorganizations by organizing, drafting, and reviewing various governance and transaction documents and checklists.
• Respond to internal and external requests for corporate records and entity information.
• Assist with educating internal clients on subsidiary governance and related topics.
• Conduct legal and factual research involving a wide range of corporate governance topics (such as locating templates, benchmarking of public company disclosures, and regulatory/compliance requirements at the U.S. federal, state, and local levels).
• Liaise with third-party providers (such as software providers and filing agents) and outside counsel, and assist in management of those relationships.
• Review, approve, and manage invoices from third-party providers and outside counsel.
• Drive process improvement and efficiencies in Eaton's entity management program.
• Good business judgment and awareness of and compliance with confidentiality requirements.
• Develop and foster a collaborative working relationship with other business partners within the Legal team and other functional groups, such as tax, treasury, and the business units.
• Provide other legal and administrative support as assigned.
Qualifications:
Required (Basic) Qualifications:
• Associate's degree from an accredited institution or, in lieu of an associate's degree, 10+ years of paralegal or legal secretarial experience with emphasis on corporate/transactional matters.
• Minimum of 3 years of experience (i) as a paralegal or legal secretary in an in-house legal department, law firm, or government or (ii) in a publicly-traded company's treasury or tax department.
• No relocation benefit is being offered for this position. Only candidates within a 50-mile radius of Beachwood, OH will be considered. Active-Duty Military Service member candidates are exempt from the geographical area limitation.
• Must be able to work in the United States without corporate sponsorship now and within the future.
Preferred Qualifications:
• Experience in the legal department of a multi-national public company.
• Broad knowledge of corporate governance principles and corporate subsidiary structures.
• Broad knowledge of the basic principles of state and foreign laws regarding legal entities.
• Experience in conducting legal research using various resources.
• Experience in public company governance and SEC filings.
• Notary public.
• Bachelor's degree from an accredited institution.
• Associate's degree in paralegal studies, paralegal certification, or comparable experience
