The impact you will have in this role:

Being a member of DTCC General Counsel's Office, the Assistant General Counsel will have primary responsibility for providing legal advice and guidance to DTCC's worldwide procurement and sourcing team. This attorney will support the procurement and sourcing function in conjunction with another attorney primarily dedicated to this area, and under the supervision of the Executive Director, Associate General Counsel who ultimately oversees that area. As time permits this attorney will also have an opportunity to collaborate with other team members within the group in order to support other projects in DTCC's General Counsel's Office, including the coverage of DTCC's Institutional Trade Processing business line, which handles matching and affirmation for securities transactions, amongst other services, and would include commercial contracts advice, securities regulatory advice, and general business and product advice.

This attorney will support the contracts team in the area of procurement and sourcing to negotiate and finalize vendor agreements of all types in a timely and commercial manner consistent with DTCC's standards. In support of this area, this attorney will frequently partner with members of DTCC's Innovation, Third Party Risk, IT Vendor Management, and Privacy teams to solve challenges relating to Artificial Intelligence, Machine Learning, Information Security, and Data Protection. With the support of subject matter experts internally, and external advice, as needed, this attorney will also advise on standard methodologies for contracting in a manner designed to align with various laws and regulations impacting DTCC and its affiliates.

Your Primary Responsibilities:
  • Support contract negotiation conducted by contract specialists within DTCC's Corporate Procurement Services ("CPS") team to ensure compliance with DTCC's standards;
  • Independently drive projects to completion, assess and triage priorities, and regularly engage with subject matter experts such as others in Legal (internal and external counsel), CPS, Business, IT, Finance, Compliance, Privacy, Risk, and other functional areas as necessary to support the above;
  • Support the continuous improvement of agreement templates, standard contract requirements, negotiation playbooks (and related guidance), and development or updates to contracting policies and procedures;
  • Conduct risk analysis and issue spot engagement-specific risks to be raised to various partners across procurement contracts;
  • Directly negotiate agreements of significant size, importance, or dollar value;
  • Draft custom agreements, letters, notices, and similar documents or communications as needed for procurement transactions;
  • Provide legal expertise on contractual interpretation issues for CPS and on other enterprise initiatives;
  • Stay current on industry developments relating to supply chain contracting, information technology considerations, and intellectual property considerations in light of the prevalence of emerging trends relating to Artificial Intelligence; and
  • As time and experience permits, support other enterprise projects handled by the team.

Qualifications:
  • 7+ years as a practicing lawyer, with experience handling SAAS / software licensing agreements and/or procurement contracting matters and/or complex commercial agreements in a regulated financial services company.
  • U.S. licensed lawyer in good standing where admitted.

  • Good partner management and relationship-building skills to navigate a large organization and facilitate business in compliance with internal policies and applicable law.
  • Strong analytical skills and creative and collaborative negotiation skills, excellent organizational skills, sound judgment, and clear and effective written and oral communication skills.
  • Proactive, "can do" demeanor and ready to partner on initiatives that influence all aspects of the business.
  • Proven track record in operating with a good degree of autonomy, multi-task, and handle the demands of contending priorities in a fast-paced environment.
