Overview

Deutsche Bank is presently seeking a director-level legal structurer and advisor to join the Rates Trading Desk in New York to support the Sales & Trading divisions and Global Legal Documentation, with a focus on support for the repo business, including both bilateral and cleared repo transactions. As a structurer aligned with Rates, the role involves participating in the origination, structuring, and execution of transactions, working alongside traders to execute transactions of a particularly complex and structured nature.

You will primarily focus on our US repo business and be part of a Trading team that provides expert and strategic advice and will interact with a legal team where you will proactively manage complex legal risks. The role will involve the legal and regulatory risk management of new and existing transactions. Accordingly, you will hold a US law qualification and will also offer practical advice in connecting contractual negotiations and regulatory requirements.

What You'll Do
  • Structuring transactions involving variety of financial instruments and their various legal formats; drafting, negotiating, advising, and finalizing master agreements and ancillary documentation, including but not limited to Global Master Repurchase Agreement (GMRA), Master Repurchase Agreement (MRA) (including sponsored repo annex) and Global Master Securities Lending Agreement (GMSLA) with external clients
  • Trade execution, liaising with clients and external advisors (including technical and legal advisors) to ensure a smooth and well-organized onboarding process, including the negotiation and finalization of transaction documentation; provide repo master agreement legal advisory support to the global legal documentation team
  • Identifying and developing solutions to eliminate or mitigate risks which arise at deal or industry level e.g. reacting to regulatory developments (such as Securities and Exchange Commission mandated clearing of U.S. Treasuries for cash and repo transactions)
  • Assist with complex negotiations, escalations and priority client relationships from the repo business pipelines to ensure that these matters are handled appropriately, and escalations are addressed in a timely manner; support the internal netting process through contract reviews, opinion reviews and submission of legal summaries for approval to relevant internal committee; coordinate with legal teams and outside counsel to increase efficiency of reviews and documentation
  • Advising the desks and stakeholders of the key risks and mitigants and advising on contractual rights, liabilities, and constraints as part of deal execution and determining optimal course of action; analyzing complex deal structures from a legal, tax and regulatory perspective; coordinating internal approvals and managing deal questions and answers with internal stakeholders
  • Supporting marketing efforts by contributing to trade commentary and client presentations, participating in client meetings; producing information memoranda for internal and external parties

How You'll Lead
  • Coordinate with Deutsche Bank Compliance, Credit, Finance, and other control functions to ensure that internal approvals, legal policy points, and legal/regulatory changes are understood and agreed and there is a sound control framework
  • Support regulatory outreaches or re-documentation projects where repo master agreements are impacted (with focus on U.S. Treasury Clearing) and assist in the management of external counsel or vendors involved in such outreaches
  • Manage external counsel engagements; coordinate with legal teams and outside counsel to increase efficiency of reviews and documentation

Skills You'll Need
  • Prior experience in structured finance and particular knowledge of legal aspects of transactions is preferred; Juris Doctor Degree; US law qualified; high levels of competence using Microsoft Word, Excel, and Power Point
  • Substantial experience structuring and executing financing transactions; able to drive and influence senior, cross-functional and cross-regional deal teams, interfacing with multiple business partners across business lines and regions; substantial legal structuring and documentation negotiation skills
  • Proficiency to build networks both internally and externally across the industry
  • Commercial acumen, analytical and numerate; proven execution skills, complex deal understanding and structuring capabilities; strong analytical approach combined with creative problem-solving abilities, high levels of initiative and ingenuity, high pro-activity levels and drive
  • Strong communication and negotiation skills and the ability to work effectively in teams; able to creatively solve problems and to successfully navigate a large, matrix-based organization; capability to work independently and under pressure, prioritizing tasks and being proactive in taking the lead and initiative in moving transactions forward

Skills That Will Help You Excel
  • Experience of drafting, negotiating, and advising on master agreements such International Swaps and Derivatives Association Master Agreement, MRAs, GMRA, GMSLA and cleared derivatives documentation in either private practice or in-house
  • The ability to work independently and as part of an inter-disciplinary team
  • Excellent legal analytical skills and problem-solving ability
  • A willingness to be versatile and develop knowledge about different departments within the Bank
  • The ability to work with a high volume of complex legal documentation under time pressure

Expectations

It is the Bank's expectation that employees hired into this role will work in the New York, NY office in accordance with the Bank's hybrid working model.

The salary range for this position in New York City is $200K to $387K. Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
