The Counsel - Vendor Contracting position serves a critical role in providing enterprise-wide legal counsel, guidance and advice to internal business partners with respect to sourcing, establishing and managing vendor engagements, including for key and complex commercial relationships for business units throughout CVS Health. The role will review, evaluate, draft and negotiate a wide range of vendor contracts, such as master service agreements, amendments, statements of work, terminations and similar documents. The role requires working closely and interacting with the CVS Health Procurement Department and other internal stakeholders across all business units involved with the matter, on an independent basis, including by providing strategic advice and counsel across a variety of sophisticated legal and business issues to ensure alignment with business objectives. This role requires handling a high volume of matters and transactions in an efficient and effective manner while helping to identify, assess and mitigate risk to the enterprise and achieve successful results for our business partners.Primary Job Duties & Responsibilities:-Lead and provide end-to-end contractual legal services in connection with vendor sourcing and engagement, including the review, drafting and negotiation of vendor contracts, e nsuring adherence to applicable laws, regulations, and internal policies and alignment with business objectives.

- Work closely with internal business partners and other key stakeholders to provide strategic counsel, guidance and advice regarding a wide range of complex and sophisticated legal and business issues arising in connection with key vendor relationships across the enterprise, and identify, assess and propose potential mitigation strategies .In order to be successful in this role you must exhibit the following:

-Proficiency in reviewing and analyzing complex commercial contracts.

-Excellent drafting, analytical, and problem-solving skills.

-Excellent written and verbal communication skills.

-Manage multiple high priority contracts/projects on a regular basis with minimal oversight, adjusting priorities as needed and meeting deadlines.

-Must be results oriented; possess ability to set the right expectations based upon the timelines and workloads of cross functional stakeholders; drive the project and keep others on task to meet goals.

-Demonstrated team player, able to develop cross functional relationships and communicate effectively with all levels of the organization.Required Qualifications

5+ years of sophisticated corporate/commercial legal work.

5+ years drafting and negotiating complex contractual terms and conditions.

5 + years of proficiency in reviewing and analyzing complex commercial contracts.

Bar admission in good standing.Preferred Qualifications
Experience with technology transactions and commercial contracts, including drafting and negotiating complex technology agreements and expertise in the areas of XaaS, cloud services, AI, software licensing, data security, data privacy, and related matters.

Education
Doctorate (Juris Doctorate) from an accredited law school.Pay Range

The typical pay range for this role is:$144,200.00 - $288,400.00

This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company's equity award program.
