The Cummins Legal function provides a full range of legal services in support of Cummins Inc. and its consolidated businesses. Our United States staff is located in Indianapolis, Indiana and in certain other states across the U.S. We also have staff outside of the United States including in the United Kingdom, India, Australia, Brazil, China, Mexico and in select countries on the African continent, in the Middle East and in Central Asia. Through these various locations, we support our business throughout the world.

We are looking for a talented and experienced Senior Counsel - Environmental and Real Estate to join our Corporate Legal team based in Indianapolis, Indiana.

  • Responsible for handling a variety of complex legal matters or projects across a wide range of businesses, regions and functions. Negotiates legal matters within the individual's realm of responsibility.
  • Recognized as an expert in environmental law in the United States with some global experience and help develop and provide guidance on regulatory compliance processes.
  • Interpret relevant environmental laws and regulations applicable to the company's facilities and operations, including Clean Air Act, CERCLA, RCRA, waste and materials management, and actively advise the company's compliance staff, facilities team, technical staff, government relations/public policy staff, and management.
  • Stay up to date with changes in environmental laws and regulations, including ESG regulations, and industry best practices, communicate obligations and deadlines to internal stakeholders, support development and implementation of processes and policies to ensure compliance and risk mitigation. Work with leadership groups to develop policies, standards and objectives.
  • Represent the company as needed in meetings with regulatory agencies including the US Environmental Protection Agency and other federal and state authorities in environmental and regulatory matters.
  • Support responses to government investigations, rulemaking comments, and other submissions to government agencies.
  • Support development of strategies to defend and resolve enforcement actions and related litigation and support environmental permitting, due diligence in M&A and other transactions.
  • Represent the company in environmental and regulatory matters involving third parties, including insurers and other PRP's.
  • Draft, review and negotiate agreements related to impacted sites including access agreements, settlement agreements and consent orders, contract terms with consultants, suppliers and 3PL providers, and eco-efficiency agreements including power purchase agreements and renewable energy installations.
  • Lead environmental and real estate due diligence for M&A transactions.
  • Experience with alternative energy contracts including power purchase agreements.
  • Draft, review, and negotiate purchase contracts, leases, easements, license agreements and other legal documents related to real estate ownership and transactions.
  • Assist in obtaining necessary permits and approvals for real estate development projects.
  • Knowledge of sustainable operations and development and green building practices.
  • Assess compliance training needs considering current policies, external developments and specific risk areas. Develop and deliver content to meet these needs.
  • Understand the business environment and use analytical skills and experience to set compliance priorities and recommend options to minimize compliance risk.
  • Ability to work cross functionally and with global teams and assist in development of legal strategies for the business.
  • Effectively manage multiple stakeholders and a large and diverse portfolio with multiple concurrent projects, priorities and deadlines.
  • Responsible for project and matter management with limited supervision; exercises independent judgment and shares in management of outside counsel relationships.
  • Acts as trusted advisor for mid to high level management; has strong grasp of business environment; effectively partners with stakeholders to identify and design needed improvements; provides legal as well as practical advice within the appropriate business context; understands and manages stakeholder expectations.
  • Influence or contribute to overall objectives and goals of the organization and provides support and leadership in legal function projects.

Education/Experience

  • Law Degree from an accredited US law school
  • Licensed to practice law in Indiana
  • Experienced environmental law practitioner with expertise in interpreting relevant environmental laws and regulations applicable to the company's facilities and operations, including Clean Air Act, CERCLA, RCRA, and waste and materials management.
  • 10+ years relevant experience preferred - inhouse or firm
  • Demonstrated proficiency in Real Estate Law (particularly leasing, sales & acquisitions, environmental and regulatory matters).

Please note that the salary range provided is a good faith estimate on the applicable range. The final salary offer will be determined after considering relevant factors, including a candidate's qualifications and experience, where appropriate.
