DESCRIPTION
We are looking for a talented Assistant Company Secretary to join our team specializing in Law for our NMA Legal Administrative department in London, United Kingdom.
In this role, you will make an impact in the following ways :
- Ensuring Compliance: By managing all statutory filings with Companies House, you'll ensure that approximately thirty English companies in the Cummins corporate structure remain compliant with legal requirements.
- Streamlining Board Processes: Your role in managing board processes, including drafting agendas and minutes, will help maintain efficient and organized board meetings for UK companies.
- Supporting Financial Operations: By assisting the treasury team with annual dividend payments and capitalisation requests, you'll play a crucial role in supporting the company's financial operations.
- Maintaining Accurate Records: Keeping the statutory registers up to date on platforms like Diligent or CSC will ensure that Cummins' central records of all companies and directors across Europe are accurate and current.
- Facilitating Cross-Border Activities: Liaising with global teams on cross-border activities and keeping them informed of changes in Europe will help maintain seamless international operations.
- Enhancing Legal Processes: Working closely with legal administrators and arranging for notarisation and legalisation of documents will ensure that all legal processes are handled efficiently and correctly.
- Supporting Tax and Treasury Teams: Assisting with documentation for tax restructurings and other treasury activities will help streamline these critical financial processes.
- Coordinating Year-End Processes: By coordinating the year-end process and liaising with colleagues for audit information, you'll ensure that the company meets its audit requirements smoothly and efficiently.

- Attention to Detail and Adaptability: A keen eye for detail to deliver high-quality company secretarial support, along with the flexibility to adapt and be hands-on in various tasks, even those outside the typical remit.
- Cultural Awareness and Confidence: Confidence to coordinate company secretarial activities across Europe, appreciating the culturally diverse environment, and working closely with local lawyers and global teams.
QUALIFICATIONS
Education/ Experience:
- CGI qualifications (part or full) or a UK/European law degree or equivalent.
- Qualified Company Secretary status is a plus but not mandatory.
- Demonstrable experience working in an in-house or private practice company secretarial team, with a focus on English and European companies.
- Strong proficiency in MS Office applications, including Excel, Word, Outlook, and PowerPoint.
- Familiarity with company secretarial software such as Diligent or CSC is advantageous.
