Senior Compliance Specialist, Company Secretary and Governance
Camana Bay
Monday to Friday 8 a.m. to 5 p.m.
Salary Range: 75,000 - 96,000 CI

This Senior Compliance Specialist will be responsible for overseeing the organization's internal governance practices, ensuring compliance with statutory and regulatory requirements, and supporting the board and executive management in fulfilling their fiduciary duties.
Some of the things you'll be doing:
Corporate Records and Documentation Management
- Safekeeping and maintenance of corporate records, including company minutes, resolutions, policies, and legal documents.
- Assist with the collation of data for all regulatory filings and reports so that they are prepared and submitted ahead of the meeting to the relevant parties.
- Maintenance and management of Authorised Signatory Lists including approval limits, ensuring it is accurate, updated, and compliant with company policies and regulatory requirements while ensuring each request is properly documented and approved. Collaborate with internal departments to ensure compliance with signing authority guidelines.
- Manage and maintain the due diligence for all appointed internal authorized signatories, ensuring CDD is current, updated and compliant.
- Oversee the process of organizing, storing, and managing the internal corporate documents, ensuring all records are complete, secure, and easily accessible.

- Maintain the company's corporate governance framework, ensuring alignment with best practices and regulatory requirements.
- Process changes to directors, officers, shareholders, and beneficial owners, advising appropriate authorities and updating records.
- Collation of agenda items and board packs for CSC Cayman companies' board meetings, governance board/committee meetings as required. Ensure effective administration of board and shareholder meetings, including managing resolutions, proxies, and official communications.
- Manage and maintain the Internal Governance Tracker of all regulatory requirements that affect the company's CIMA licenses and ensure relevant action points are followed up and closed as agreed.
- Submission of annual accounts of CSC Cayman companies and ensure that all regulatory filing requirements are met with local registrar and regulators.
- Maintain and update company records, including corporate bylaws, governance policies, and committee charters.
- Compilation and submission of regulatory filings for key personnel within the CSC Group
- Provide quarterly management reports to the CSC Cayman Management Meetings and Board of Directors Meetings for internal control oversight of the Corporate Governance department.
- Assist in preparing reports, presentations, and documentation related to governance and compliance for executive management.
- Provide expert guidance to internal staff on behalf of external clients on all head office UBO KYC queries.
- Participate in ongoing governance projects and compliance initiatives, training sessions, drafting, and amending policies and procedures, and assisting with regulatory research as needed.
- Ensure that Cayman anti money laundering and terrorist financing regulations are complied with to the extent required by your role, especially in respect of the reporting of suspicious activity or transactions, client due diligence and record keeping.
- Act as the primary liaison between the board, its committees, and executive leadership, facilitating effective communication and collaboration.
- Implement and maintain the Director's Framework to ensure Board of Directors are meeting fiduciary responsibilities.
- Provide orientation and ongoing education for board members on governance issues, regulatory requirements, and best practices. Ensuring Board of Directors meet Continuing Development Training requirements.
- Manage the company secretarial calendar for Board of Directors and executive management to ensure meeting expectations are set annually.
- Identify, report, and mitigate on an ongoing basis, risks associated with the Corporate Governance Department ensuring alignment with best practices and regulatory requirements.
- Prepare monthly department reports.
- Complete file reviews of the CSC Cayman entity book.
- Have a University Degree, plus a legal or ICSA qualification or otherwise, have 5 years' experience in a similar role
- Experience in minute taking with the ability to independently draft minutes and resolutions within limited time-frames
- Understanding of Corporate Governance and have knowledge of relevant local regulations and best practices
- Experience in managing all facets of a chartered secretary/board support role including but not limited to attendance at meetings, minute taking, liaison with Directors, Clients and third parties, transcribing and summarising data
- Strong organisational and prioritisation skills with the ability to multi-task in a time critical environment
- Able to work independently but also as a cooperative member of a team
- Advance knowledge of Microsoft Office Suite
