Manager, Governance Services (Investment Trusts)

Location: London or Bristol (Hybrid)

A role you will love

As a Manager within the UK Governance Services' team, you would be responsible for leading relationships and service delivery for Investment Trust client engagements.

You will be a trusted member of the team and encouraged to have an active role in growing the business, while coaching and developing others in the team. Working in a fast-paced professional services environment you will deliver high quality end-to-end services, advising Investment Trust clients on best practice governance and compliance.

You will be responsible for all aspects of Company Secretarial and Corporate Governance support including arrangements for and attendance at board, committee and shareholder meetings, preparing and filing documentation in relation to regulatory compliance and statutory returns, corporate transactional support and also provide support to special projects such as corporate actions, fundraisings and merger and acquisition activity.

Key Responsibilities

  • Lead and deliver Investment Trust client engagements.


  • Advise Investment Trust Boards and Investment Managers on requirements, compliance, governance, and transaction related matters.


  • Help to grow our business through client relationship management activities.


  • Develop subject matter market insights, technical knowledge and service delivery templates, processes, tools, and materials.


  • Support business management and operational matters, including recruitment, resourcing, finance and risk management.


  • Administer the on-boarding of new clients in accordance with company policies and processes.


  • Attending client and Computershare hosted industry events.


  • Collaborate with Finance to manage billing and invoicing for clients, have an awareness of recoverability and work in an efficient manner


  • Keep up to date of both internal and external influences to help shape continuous growth and development of the Governance Services business and offering.


  • Mange, mentor and overseei the training and development of junior colleagues in all aspects of Investment Trust compliance and governance, enabling them to develop their career


  • Providing support to Investment Trust Boards and Committees, which will include attendance at meetings in a minute taking and advisory capacity


  • Ensuring compliance with all continuing obligations such as Listing (LRs and DTRs), Regulatory and Company Law requirements and compliance with Market Abuse Regulations (MAR)


  • Organising and managing shareholder meetings including the preparation of all relevant notices and meeting documentation


  • Preparing and filing the relevant statutory filings and regulatory filings (Companies House, FCA, NSM)


  • Providing advice and guidance on Association of Investment Companies (AIC) corporate governance code and best practice to a diverse portfolio of Investment Trust clients


  • Drafting and reviewing of the non-financial sections of Annual and Half Year Reports and Accounts ensuring disclosures accurately reflect the client's governance practices and comply with relevant regulations, preparing and filing of relevant submissions and stock exchange announcements on behalf of clients and project managing the process, where appropriate/required


  • Maintaining corporate registers from a regulatory, statutory and governance reporting requirements perspective


  • Preparing, coordinating and releasing regulatory stock exchange announcements using a range of RIS portals


  • Maintenance of insider lists and facilitation of proper management of sensitive information


  • Coordinating board and committee annual evaluations


  • Monitoring directors' interests and conflicts of interest


  • Liaising with third party advisors such as the Company's registrar, broker, legal advisors

What will you bring to the role?

To be successful as a Manager within our team you will be able to demonstrate an expert technical knowledge of Investment Trust governance, compliance and regulatory requirements in a previous company secretarial role.

  • Strong technical company secretarial knowledge and corporate governance experience.


  • Experience working in a Professional Services environment would be beneficial but is not essential. Many of our team have an in-house background.


  • A history of building client or stakeholder relationships, which will help us to develop the Governance Services business.


  • Ability to influence and build effective relationships at all levels with clients and colleagues.


  • Awareness of legal, regulatory and governance trends and developments.


  • Attention to detail and track record of producing high quality work.


  • Experience of managing direct reports would be advantageous but not essential.


  • A Resilient and proactive approach with the ability to take ownership/responsibility for own work and work of others.


  • Effective business, financial and risk management skills, and the ability to think/act strategically and commercially whilst protecting the reputation of the company.


  • Qualified member of CGI/ICSA.


  • Listed company or financial services sector company secretarial experience.


  • Experience of investment trusts.
