Job Summary
The Senior Manager, Corporate Finance is responsible for the development and implementation of strategies covering all aspects of the Treasury front office activities. The incumbent interacts with a number of internal and external stakeholders holding senior level positions.

Main Responsibilities
Monitor Liquidity for Diversified Sources of Funding
• Develop and present liquidity and funding plans for the Chief Financial Officer (CFO)
• Support the development, communication, and execution of the long-term financial strategy
• Recommend and implement cost-effective debt strategy to meet the Company's capital and liquidity requirements
• Monitor debt capital markets and lead the bond issuance activities
• Structure, negotiate and handle CN's revolving credit facilities, term loans, bilateral letter of credit facilities as well as other specialized arrangements, such as addressing any required changes
• Handle the commercial paper program and various dealer agreements
• Handle the accounts receivables securitization facility
• Oversee the Company's portfolio of letters of credit and handle the issuance and amendment requests with the various banks
• Conduct financial analysis and modelling to support treasury decisions, including evaluating financial opportunities, debt financing options, and capital structure optimization
• Call and refinance outstanding bonds
• Act as a backup for the money market, short-term investment, spot foreign exchange (FX) transactions, FX swaps, and commercial paper issuances
• Keep abreast of economic market conditions and developments that may impact the Company and share related insight to support ongoing decision making, financial planning, and risk assessment
Financial Risk Management
• Develop and implement risk management strategies to mitigate financial risks such as foreign exchange, interest rate, and credit risks
• Assess and handle counterparty risk associated with banking relationships and financial instruments
• Negotiate International Swaps and Derivatives Association (ISDA) contracts
Prepare Presentation and Support Ad Hoc Projects
• Develop presentations to advance various recommendations to the Audit, Finance and Risk Committee of the Board of Directors or to Senior Management
• Develop presentations to rating agencies, to fixed income investors, and others as needed
• Provide financial expertise on a wide array of significant projects (e.g., major mergers and acquisitions, real estate, captive insurance, stock-based compensation, pension, taxation)
• Partner with Tax to implement, document, and monitor the pricing applicable to intercompany loans
• Review CN's customer credit risk profiles and propose risk mitigation measures
• Analyze payment terms to support Supply Management in optimizing payment discount arrangements on prepayments
• Prepare credit metrics based on rating agencies' different methodologies and keep abreast with their changes
• Monitor peers' earnings and update benchmarking analysis
• Support financial reporting activities and ensure the Company's external reporting is accurate
• Support Pension and Leasing activities, with third parties or intercompany
Lead Shareholder Distribution Activities
• Resolve the optimal capital structure and the corresponding dividend policy and share repurchase programs
• Set up and execute share repurchase programs coordinating CN's dealers and sellers through private agreements
• Ensure timely submission of application to regulators and receipt of approval from regulators
• Ensure perfect execution of the program while minimizing the cost versus the average daily volume weighted average price (VWAP)
• Prepare reports on a timely basis
Manage Relationships
• Establish and maintain relationships with financial institutions that are currently part of CN's credit facilities
• Handle the relationship with the rating agencies, review their periodic reports, and keep them up to date on CN's financial initiatives
• Collaborate with cross-functional teams, including Financial Reporting, Accounting, and Legal, operations to support treasury initiatives and business objectives
Working Conditions
The role has standard working conditions in an office environment with a regular workweek from Monday to Friday, with overtime when required. Due to the nature of the role, the incumbent must be able to meet tight deadlines, handle pressure, and stress.
Requirements
Experience
Financial Market or Treasury
• Minimum 10 years of experience in a position related to financial markets or in a treasury function
Education/Certification/Designation
• Bachelor's Degree in Finance, Mathematics or Economics
• Chartered Financial Analyst (CFA) certification
• Chartered Professional Accountant (CPA) certification or any other accounting designation
• Master's Degree in Business Administration or Science (MBA, MSc)
Any designation for these above would be considered as an asset
