Chevron is accepting online applications for a position of Senior Counsel/Counsel, in the Finance Law Practice Group of the Organizational Capability Center, located in San Ramon, California or Houston, Texas, through February 2nd, 2022, at 11:59 p.m. (Pacific Standard Time).

This position is a Senior Counsel or Counsel position in the Finance Law Practice Group of the Organizational Capability Center.  This position provides legal services to Chevron Treasury (including its Internal Finance Committee, and its Enterprise Finance and Banking, Investments & Finance teams) in support of financing activities, transactions, and investments by Chevron Corporation and its subsidiaries and business units around the globe.  This position will be based in either San Ramon, California or Houston, Texas, and will report to the Deputy General Counsel for Organizational Capability.

Responsibilities for this position may include but are not limited to:

  • Prepare, review, and negotiate financing and credit support facilities provided to or by Chevron Corporation and its subsidiaries, including:

- Revolving credit facilities and term loans (including project finance agreements, multi-currency credit facilities and intercompany loans) and related collateral documents;

- Bond financings;

- Letter of credit reimbursement agreements;

- Performance assurances (including letters of credit, bank guarantees, affiliate guarantees, surety and decommissioning bonds and escrow agreements) and related contract provisions in connection with commercial transactions, M&A transactions, joint ventures and other investments; and

- Cash management agreements (including bank servicing and cash investment agreements).

  • Serve on the global Internal Finance Committee as one of the legal representatives to approve intercompany investments, loans and other transactions.

  • Advise Treasury team and other legal and business stakeholders on legal and business issues and risks, risk mitigation steps and alternatives, governance and other approval processes, and company policies and procedures relating to the foregoing.

  • Engage, instruct and supervise outside counsel as necessary to facilitate the foregoing.

Required Qualifications:

  • Bachelor’s degree from an accredited U.S. college or university and Juris Doctor in Law from an accredited U.S. law school, with excellent academic credentials.   Undergraduate accounting, finance or other business degree a plus, but not required.

  • Admission to practice law in good standing in the State of Texas or the State of California (depending on office location).

  • At least 6 years of relevant finance experience (described immediately below) at a top tier law firm.  In-house experience a plus, but not required.

  • Significant experience advising clients in structuring and negotiating complex and sophisticated debt financings and restructurings (including U.S. domestic, foreign and cross-border bilateral, syndicated and multi-currency revolving credit facilities, term loans, acquisition financings, project finance, bond financings and other debt investments, both secured and unsecured in nature), and related document drafting and negotiating experience.

  • Experience also with the following:

    • Performance assurances (including letters of credit, bank guarantees, affiliate guarantees, surety bonds and escrow agreements).

    • Cash management agreements (including bank servicing and cash investment agreements).

    • M&A transactions, joint ventures, partnerships, corporate governance and other general corporate and transactional experience.

    • Financings, investments and transactions involving the energy sector (including oil & gas upstream, midstream and downstream sectors as well as alternative energy sources) is a plus, but not required.

  • Demonstrated ability to work collaboratively on multidisciplinary teams and to seamlessly provide and coordinate timely legal advice for multiple projects with competing deadlines across different time zones.

Relocation may be considered within Chevron parameters.

Expatriate assignments will not be considered.
