The position title is Senior Counsel and reports to a designated managing attorney. In this role, Senior Counsel will provide commercial contracting support to Cencora's MWI Animal Health business, primarily drafting and negotiating agreements with customers, strategic business partners, and vendors, as well as counsel the business unit on matters related to those contracts and other issues.
The ideal candidate is a skilled lawyer who understands the legal issues and can balance legal advice with pragmatic and strategic business-minded considerations. While strong legal skills are essential, the ideal candidate is expected to provide advice based on a nuanced understanding of Cencora's business, industry, and operations, and to work as a proactive business partner in achieving the company's business goals and objectives, while protecting Cencora's interests by identifying and managing regulatory and other risks. The ideal candidate will also be expected to provide advice in a succinct and straight-forward manner, while working directly with internal leadership, sales, finance, credit, and operations personnel. Prior experience in animal health is strongly preferred, but not required. Experience with technology related legal issues would be a plus.
This is a US based remote role (preference for Conshohocken, PA)
- Prepare, review, and negotiate a variety of contracts including distribution agreements, supply agreements, and joint venture agreements in accordance with the Company's objectives and policies and procedures
- Coordinate with other attorneys and paralegals to ensure process efficiency and consistency across projects and business units
- Work closely with cross-functional teams including the business, sales, finance, regulatory, licensing, and compliance teams
- Advise internal groups on contract interpretation and other legal issues and risks
- Take on special projects as they arise
What your background should look like
- 5-10 years of experience as a lawyer combined with commercial transactions, contract negotiation and drafting. Law firm experience or experience in-house is preferred
- Law Degree - must be a graduate of an accredited law school and must be barred with a state bar
- This role is comparable to a mid-level associate in a law firm and is for a lawyer who can do sophisticated work with minimal guidance and oversight from a manager in most instances
- Strong communication skills
- Strong negotiating skills and the ability to negotiate directly with external parties
- Business acumen, interest, and the ability to participate in and contribute to strategic business discussions with the client
- Ability to contribute to legal team's ongoing efforts to create, improve and operationalize internal processes, best practices, and commercial templates
- Effectively prioritizes tasks to ensure that work is completed in a timely and efficient matter
- Demonstrates confidence in work product and seeks guidance on specific, sophisticated issues
- Excellent judgment and ability to resolve complex issues effectively, including demonstrating good business judgment by knowing what issues to pursue, when to seek help internally, and how to manage Cencora's internal approvals process
- Demonstrates ability to be flexible and agile across the department
- Exceptional drafting skills and the ability to communicate effectively both orally and in writing
- Ability to provide contract interpretation counsel and business law advice directly to senior business leaders and decision-makers
- Strong interpersonal skills and the ability to maintain professional and positive demeanor with internal clients, clients of Cencora, senior management, and outside counsel in all circumstances
- Responsive and client-service focused
- Strong organizational skills and attention to detail
- Ability to utilize a contract management system
- Demonstrates initiative and a "self-starter" mentality
