About the Role:

Reports to the COO as part of a Global Finance organization. The VP, Finance Operations Legal Entity Governance will be responsible for supporting end-to-end finance-driven processes and initiatives regarding legal entity governance, compliance, rationalization and simplification efforts across geographies, businesses, and legal entity types.

What You'll do:

  • Partner with Legal and other functional areas to establish and govern a legal entity management framework for new entities and existing entities.
  • Support the development of a comprehensive, automated workflow for end-to-end legal entity management, including LECAP
  • Support the development and execution of ongoing legal entity rationalization programs and oversee the team that establishes the finance governance framework for formation, maintenance, and dissolution of legal entities
  • Support the development and execution of country-level legal entity framework (i.e. how many operating companies per country, use of holding companies, stakeholder owners, information management, audited financial and tax return compliance)
  • Lead a team that oversees the delivery of statutory accounts (and related tax filings) to directors
  • Support the centralization of processes related to booking transactions between related parties
  • Partner with Corporate Development of M&A transactions to oversee Financial Due Diligence and work with team on integration workstreams.

  • Support the development and release of an automated LECAP process
  • Support the release of a legal entity governance program
  • Complete entity rationalizations that are already in process or in the queue for 2024
  • Work with tax to develop targeted list of legal entities that can be rationalized in 2025
  • Outline end-to-end workflow for finance-specific legal entity management and a corresponding process and automation plan
  • Determine the cost of doing in-fill deals without a short-term integration plan
  • Launch a global state and tax compliance program with an opt out framework

What you'll Need

  • Bachelor's Degree in Accounting, Finance or related field. 10+ years' experience in public and/or private accounting, including 7+ years' experience in progressively responsible management positions. A candidate will have experience that evidences their:
  • Ability to get things done and is comfortable making decisions even when there isn't a "perfect" solution
  • Ability to meaningfully collaborate and communicate cross-functionally with legal, tax, treasury and controllership
  • Ability to partner with people and functions to drive the design and implementation of new or improved processes and procedures
  • Ability to deliver concise and informative executive summaries for senior management
  • Knowledge of corporate governance and legal entity management a plus.
  • Experience with post-merger integration and M&A a plus.
  • Detail oriented with an ability to understand the strategic vision and direction for the "big picture".
  • Experience working with various functions and businesses across multiple geographies.
