About this role

We are looking for an investment funds lawyer and structuring expert to join our Private Markets Structuring Team in EMEA. This individual will help lead the design and structuring of BlackRock's private markets products, with a particular focus on client mandates, separate accounts, funds of one, and other bespoke client solutions.

The Private Markets Structuring Team forms part of Global Product Solutions (GPS), BlackRock's central global product function. GPS oversees enterprise product strategy, including pricing, development, structuring, and platform governance. The Private Markets Structuring Team is responsible for the design, structuring and development of innovative private markets investment fund structures and client mandates for institutional and wealth investors globally. Members of the team interact with stakeholders across the firm, including investment teams, distribution, strategy, operations, and risk and compliance functions. The team works closely with BlackRock's in-house Legal team to drive the negotiation, formation and documenting of our products and solutions, and regularly engages with external professionals, advisers, industry groups, policymakers and regulators. A key element of the team's role is also interacting with clients - partnering with sales teams on RFPs and engaging directly with existing and prospective clients on the design, structuring and development of custom solutions.

Responsibilities

  • Advise the business (including client relationship, sales and investment teams) on the design and structuring of private markets products and solutions, including features such as domicile, wrapper, key fund terms (including pricing) and legal and regulatory structure.
  • Efficiently manage multiple complex structuring projects, regularly working with new wrappers and fund structuring innovations (e.g. feeders, local entry points, currency solutions, evergreen vehicles, structured notes).
  • Lead the design and negotiation of customized separate accounts for leading institutional investors.
  • Lead structuring conversations with clients alongside client relationship and sales teams.
  • Review documentation relating to a variety of fund structures.
  • Assume responsibility and ownership for select products, solutions and separate accounts.
  • Research legal and regulatory considerations relevant to specific clients, products and jurisdictions, serving as a thought-leader on the practical implications of new rules and guidance.
  • Partner with the Legal team in engaging with external legal advisors and other service providers.
  • Work closely with tax, operational, compliance and risk management functions to design effective products and solutions.

Qualifications

  • Qualified lawyer with 7+ years of relevant work experience at a leading law firm, bank or asset manager (with a focus on private markets).
  • Experience working with a broad spectrum of fund types (e.g., partnerships, corporates, contractual schemes, regulated and non-regulated vehicles), core jurisdictions (e.g., Luxembourg, Delaware, Cayman), and client segments (ideally both wealth and institutional).
  • Deep knowledge of the European regulatory landscape, including AIFMD.
  • Self-motivated and proactive individual with strong desire to learn and succeed.
  • Excellent analytical, interpersonal and project management skills to manage multiple projects at any one time.
  • Ability to effectively communicate complex topics to both internal and external parties.
  • Broad understanding of the tax considerations driving the choice of appropriate fund structures.
  • Proficient in reviewing fund documentation, marketing materials and other collateral.
  • Ability to work with sales and client relationship teams in designing and delivering solutions for our clients.
  • Broad understanding of private markets and industry trends.
  • Excellent communication skills, both verbal and written.
  • Driven, dynamic and proven team player.
  • Strong work ethic.
  • Whilst GPS and the Private Markets Structuring Team operates principally in English, the ability to speak German in a business context is an advantage. Other European languages also an advantage.
